( is the premier global association for professionals involved in corporate growth, corporate development, and mergers and acquisitions. ACG TENNESSEE & ACG KENTUCKY The partnership of the Tennessee ( and Kentucky ( ACG chapters will create a dynamic, productive, and fun Capital Connection. Combined, the two chapters include approximately 200 ACG members, 20 private equity, venture, and mezzanine firms, 30 corporations, 45 professional service providers, 15 investment banking firms, 20 lenders, and many other professionals. HEALTHCARE FOCUS BUT NOT A HEALTHCARE CONFERENCE Nashville is widely recognized as the healthcare capital of the United States. Nashville is home to almost 400 health care companies, including HCA, the largest private operator of hospitals in the world, as well as six of the 10 largest hospital companies in the country. Similarly, Louisville has emerged as a major center for the health care and medical sciences industries. Louisville has been central to advancements in heart and hand surgery as well as cancer treatment. Some of the earliest artificial heart transplants were conducted in Louisville. Louisville is also home to Humana, one of the nation's largest health insurance companies, as well as a host of companies focused on healthcare services to seniors. Our members provide a unique perspective on healthcare, the sector that drives almost one-fifth of the U.S. GDP. The conference will provide attendees the opportunity to network with healthcare focused firms and healthcare executives, as well as non-healthcare focused professionals. The breakout sessions will feature a healthcare focused session running concurrently to a non-healthcare related session.

3 2012 MIDSOUTH ACG CAPITAL CONNECTION On June 11-12, 2012, the ACG Tennessee and ACG Kentucky chapters will host the first joint MidSouth ACG Capital Connection. While the event has been successfully hosted by the ACG Tennessee chapter in Memphis four times previously, this is the first time that the conference will be held in Nashville and is the first joint conference with ACG Kentucky. The 2012 Midsouth ACG Capital Connection will be a two-day conference hosted on June 11-12, 2012 at the Hutton Hotel in downtown Nashville, TN. The combination of ACG Chapters in Tennessee and Kentucky brings U.S. middle market M&A professionals together in one dynamic event. It is anticipated that the event will draw approximately 400 professionals and 50 capital exhibitors, as well as many corporate executives, investment banking firms, and other intermediaries. The unique conference will feature the following programs: An attendee cocktail reception event at Robert s Western World, the undisputed home of traditional country music and one of the most famous honky-tonks located on Broadway Avenue in downtown Nashville An opening breakfast program on Tuesday morning at the Hutton Hotel, featuring a dynamic Breakfast Speaker A Tuesday lunch program at the Hutton Hotel, featuring a panel of distinguished and experienced healthcare professionals Keynote Lunch Program Both Healthcare and Non-Healthcare focused educational panel presentations on Tuesday before and after lunch A Capital Connection featuring both regional and national capital providers, with both healthcare and non healthcare focus The scope and potential of the 2012 Midsouth ACG Capital Connection clearly shows the attraction of sponsorship for any enterprise that seeks to connect with the middle market world of mergers and acquisitions. 5 There is no other regional event that will generate as much deal making energy as the ACG Midsouth Capital Connection. We expect more than 50 capital providers from across the country with more than $2 billion in capital under management and decades of management experience. OTHER ACTIVITIES The chapters are currently evaluating the interest level of adding other networking activities on Monday, June 11, such as a golf outing. Depending on the interest level, we may have additional activities to the calendar. CMA FEST The 2012 ACG Midsouth Capital Connection is being hosted immediately following the 2012 CMA Music Festival. The CMA Music Festival is a four-day music festival centered around country music hosted each June by the Country Music Association in Nashville, Tennessee. Begun in 1972 as Fan Fair, the event now draws over 400 artists and celebrities who hold autograph sessions and perform in one of the many concerts offered throughout the festival. In 2011, total combined attendance for the four-day event was estimated to have exceeded 250,000 people, from 41 different nations and all 50 states. We have reserved a limited number of rooms at the Hutton Hotel for conference attendees who would like to arrive in Nashville early to enjoy the festival. Just mention ACG.
