APPROVAL OF MINUTES: Board Meeting, January 6, 2015: Kirby Wilson moved, with a second by Audrie Newport, to accept the minutes as written. Motion carried unanimously. MANAGERS REPORTS: Facilities: Doug Miller, Facilities Manager, reported the following: o Workshop roof is being put on. The City of Benson has approved the new roof. o The Facilities crew will soon begin placing rocks on the banks of the wash below the bridge. $1, has been spent thus far but the project will be completed under budget. Office: Tisha Luzadder, Office Manager, reported the following: o Ryker Tek has estimated that two new computers for the Office will cost $2,280.98, plus labor costs. The Office computers have not been replaced in five years. They are old, slow and are Walmart E-machines that were not designed for business use. The Office would like to manage its assets by replacing two computers every year. This will hopefully eliminate present computer problems. Spencer Kluegel moved, with a second by Kirby Wilson, to purchase out of capital funds the amount of $2, plus labor costs for two new computers for the Office. Motion carried unanimously. o M & O s will be going out on February 17 th with a due date of March 17, o Six (6) lots are in the transfer stage with two lots available to leaseholders this week. o Currently there are 265 on the Hot List and 172 Leaseholders in the park with 85 guests.
2 Page 2 of 8 OLD BUSINESS Treasurer s Report: Maxine Vert reported that a full report will be distributed at the Annual Meeting. Currently, the Co-op has money in the bank and the bills are paid. Robert s Rules: Maxine Vert explained that, as one Board ends and a new Board begins, all current projects are simply rolled over to the new Board to continue working them. Care will be taken not to table any issues thus causing Mr. Robert s [AKA Charles Hoelzel] to smile. Casita Colors: Maxine Vert asked Kirby Wilson to lead the discussion. Kirby began by reading a letter from Tom Sanor. Tom wrote that he and other active members of the Architectural Committee were strongly in favor of the informal casita colors study group and were eagerly awaiting the group s findings before the committee could submit any guideline changes to the Board of Directors. John Gill, who heads the group, explained that the group met and had about a dozen interested folks, all with different opinions, participate. The group will meet again to continue trying to break the deadlock on choice of colors. The group hopes to give the Architectural Committee some proposals for rule changes concerning the color-choice issue. The committee can then follow the proper procedures for submitting a rule change, if desired. John requested that the Board put off any decision about color choice for casitas until after the study group has completed its research and has submitted a proposal to the Architectural Committee. Each Board member presented his/her opinion concerning this color choice issue. A common point of view was that the Board had no need to decide to repaint any casitas until after the study group had finished its work. Carole Melander suggested there is a fallacy with the current rule if it is so difficult to interpret and that the Committee might consider a rule change when the study group makes its recommendations. Maxine then spoke about the issue of the petition that was tabled from the January 6, 2015, Board meeting. She first apologized to the new leaseholders on lots #150 and #186 for the grief that they have been receiving since their casitas were painted. She then gave each Board member the opportunity to speak about the petition. All of the statements will be attached to these minutes. After the other members had spoken, Maxine said that she has received considerable feedback from park residents concerning the issue of color choice for casitas that generated the petition in question. She concluded by saying that the Architectural Committee did not follow its guideline as written and the Board allowed this to happen thus causing the controversy. Drew Moehlau moved, with a second by Kirby Wilson, to reject the petition and stay with the previous Board decision to accept the colors of the two casitas in question, and that nothing is going to change. A roll call vote was then taken. The following voted in favor of the motion: Pat Moore, Kirby Wilson, Drew Moehlau, Spencer Kluegel, and Spencer had Doug Coughenower's proxy to vote "yes". The following voted against the motion: Maxine Vert, Carole Melander, and Audrie Newport. Motion carried with five (5) in favor and three (3) against. Andre Bernard asked if we voted against the motion because we were women. Maxine stated it had to do with the wording of the motion. NEW BUSINESS AED Trainer: Carole Melander stated that there was a problem with the trainer. She is awaiting word from the company regarding whether the unit had to be replaced or just the remote control had to be replaced. When she hears what the solution is, she will
3 Page 3 of 8 the Board members requesting the amount of funds needed to repair/replace the trainer or remote control. Meanwhile, the classes are on hold. Doug Coughenower s Memo: Maxine Vert read the comments from Doug Coughenower concerning holding the Board meetings in the main room of the Clubhouse. Basically Doug finds it too distracting due to the presence of the large audience thus finding it difficult to concentrate his attention to other Board members discussing agenda items. He finds himself talking to the audience rather than the Directors. Doug stated that this issue need not be addressed beyond the reading of his comments. LIAISON REPORTS Architectural: Annual inspections are ongoing. Audit: The committee will meet and are working to realize their requirements for the Annual Meeting. Budget: No report. Bylaws: Numbers 3 and 6 on the ballots will not be counted. Channel 5: No report. Channel 43: No report. Clubhouse: Audrie Newport moved, with a second by Carole Melander, to accept as new members on the committee Joyce Morton and Michael Hickey. Motion carried unanimously. Election: The committee is poised for the forthcoming election and is ready to go. Audrie Newport and Carole Melander will be present in the Board Room on Wednesday, February 4 th at 9:00 a.m. and on Thursday, February 5, 2015, at 6:30 a.m. to observe the workings of the committee during the counting of the ballots. Facilities: No report. Helping Hands: There will be a celebration of life in the Clubhouse for Bud Barber at 2:00 p.m. on February 11, 2015, after his internment in the Southern Arizona Veterans Cemetery in Sierra Vista at 11:00 a.m. Landscape: Maxine Vert stated that the dirt needed for Russ Minor s cactus garden is of a special nature and that the pile of sand dumped on his lot is unusable. Doug Miller confessed that he was responsible for dumping that sand on the Minor s lot due to his confusion and he would have it removed. Long Range Planning: No report. Marketing: Does the committee have $ in its budget for getting its material printed? asked Spencer Kluegel. Tisha Luzadder confirmed that the funds were in the budget. The committee is ready to go to the Escapade in Tucson. Burke Pease requested names from the folks on the Hot List who would be interested in attending one of his orientation-for-new-leaseholders sessions. Office: No report. Parking: No report. Propane: Larry Trudo is offering carbon monoxide testing if you sign up for a test. Rules: Inspections are completed. Security & Safety: The committee continues to work on the Emergency Evacuation Plan. Technology: No report.
4 Page 4 of 8 Welcome: Audrie Newport reported that, thanks to John Gill for his research, between October 27 th and December 31 st, the park received 132 visitors of which 54 used coupons and 10 of those have signed up for the Hot List. Workshop: No report. Wrens: No report. City Council: No report. INCIDENT REPORTS: No report. CORRESPONDENCE: A memo was received from the Rules Committee but arrived too late for discussion at this meeting. Another memo was received about leaseholder rules, noise and speed limits. A 5-yearold child learning to ride a bike was nearly hit by a golf cart coming close enough to scare the child, causing the child to fall off of the bike. All residents must observe the 15-mph speed limit in the park. Regarding the comment sheets, since last March no complaints were written on any comment sheet received. All remarks were positive about this park. Carole Melander praised the recycling un-committee: Rick & Terry Traver, co-founders, Clare Stomper, Marjean & Don Clements, Byron Little, Allan Parmenter, Linda & John Lightbourn and Jim Winlund. These volunteers are helping to save many dollars for the Co-op. Doug Miller stated that the Transfer Station told him that the Co-op is the largest recycler in Benson. ADDITIONS Maxine Vert urged everyone to attend the Annual Meeting on February 5, Registration begins at 8:00 a.m. where the Annual Report will be distributed and the meeting begins at 10:00 a.m. Meeting adjourned at 10:00 a.m. Andre Bernard Recording Secretary Carole Melander Board Secretary Attachments: Directors comments about the casita color issue.
5 Page 5 of 8 At the January 6 th meeting, in a motion made and seconded and with a unanimous vote of the board the issue of the petitions was tabled until the January 20 th meeting. Like it or not we must deal with this issue. Over the last two weeks, we have received letters pro and con... 1 have had visits to my lot and phone calls. I have read what you have wrote and I have listened to what you have had to say. Now it is my turn to speak and following my remarks, each board member will have the opportunity to speak on this issue also. The very first thing I will address is the leaseholders of these two lots. You followed the proper procedures and none of this is your fault. I apologize to each of youthat this has been made so public. It is a horrible way to welcome new leaseholders and certainly no way to treat our leaseholder who has been here longer than I have and I recognize that she has had a very difficult year. Please accept my apology. Some have asked that their names be removed from the petition because they were mislead. The petitions were Signed right underneath the written reason for the petitions. I do not believe anyone was mislead. They may have second thoughts but was not mislead. Others thought because two members of a leasehold had signed they should be thrown out. The bylaws say only one vote per leasehold. This wasn't a vote...it was an opinion or protest... actually no different than both leaseholders filling out the wifi survey. I did notice that two past presidents of this park signed the petition with one writing a letter and we received a very well written letter from a past vice president and past secretary who had experienced a similar situation such as this. I would caution the "Study Group" to not discount them as a few disgruntled people. I can assure you that if you do, your troubles are not over. So what happened here? How did this get so out of hand? We have bylaws, rules, and guidelines we live by in this park. They are all here for a reason and it is usually to correct a problem. When we fail to follow them we can get into a heap of trouble. The guideline in question is Architectural Guideline for approving colors for casitas.-it reads, "Outside finish must be subdued desert pastel colors." I do not believe that the Architectural committee arbitrarily violated their own guidelines on the first one...it is very hard to see what the finished result will be from a little swatch. Unfortunately, those colors are not subdued. The Board
6 Page 6 of 8 allowed that one to stand. The first time can be a mistake... the second time you really have to wonder. As I understand that one was approved by the entire Architectural Committee. This is when the snowball turned into an avalanche. The bottom line to me is this... the Architectural Committee did not follow their guideline as written and the board allowed it to happen. That is bottom line to me and the reason for all this controversary. Today is my last board meeting. When I walk out the door after this meeting, this is no longer my problem. If you come to see me, we might talk about the color of my desert flowers but we will not talk about the color of casitas. I wish all involved with the decisions from here on out, wisdom. Maxine Vert I would first like to address this petition. It does not represent a majority of the lease holders. It should have been rejected upon arrival. This board should respond to a majority rather than a very small minority. Only 13% of lease holders signed the petition, some have written and asked to have their name removed. I did a survey of the whole park looking at casita colors of the Architecture guidelines says outside finish must be subdued desert pastel colors. In my opinion desert colors are shades of browns, grays and greens. 85 casitas do not meet these guidelines, 56 white(white is not a desert color and is also quite bright), 14 blue, also not a desert color, 2 pink, 3 turquoise, 3 bright green, 3 yellow, 2 lavender, and 1 red. This guideline has not been complied with for a long time. I think there has to be a change to this guideline and a hard fast color chart included. I will not vote to repaint these casitas when there is so much precedent against it. Kirby Wilson 6
7 Page 7 of 8 For the last 2 weeks, I have felt like I am between a rock and a hard place and dreaded this Board Meeting. On one side I have the Architectural Committee, a hard working committee that seems to take the most flack in this park. If I vote that they have violated their guidelines, we will probably lose some valuable members of that committee. One the other side are leaseholders who have pointed out that when I became a Director on this Board, I took an oath to make sure the Bylaws and Rules are followed. If I ignore that, I can be removed from the Board. I saw this as a no win situation. No matter which way this vote goes today, someone will not be pleased. Some time ago I came across a saying about mistakes. There are two ways to make mistakes. The first way is follow the rules strictly & never look at extenuating circumstances. I didn t do that. The second way to make a mistake is to look at the rule and extenuating circumstances, and bend the rule. That is exactly what I did. I looked at brand new leaseholders who did everything they were supposed to do, and maybe the colors turned out brighter than they expected. I voted with my heart and allowed the colors to stand. I thought the statement subdued desert pastel colors was pretty self-explanatory but I have come to learn in the last couple of weeks how many different ways our leaseholders, including the Architectural Committee Members & Board Members, interpret those words, especially the part desert colors. To me that means there is a fallacy with this guideline. I believe that a casita colors study group is a fantastic idea, especially since it is endorsed by the Architectural Committee. What would I like to see happen? 1. The casita color study group work on a solution to this dilemma and take it to Architectural Committee. If they approve, follow the proper procedure to get it to the Rules Committee for leaseholder input. Just a reminder, once it gets to Rules, it must be posted for 60 days. 2. If it is determined that the casitas in question should be repainted, it should be at Co-op expense but not until the new guidelines are in place and they can choose from the newly approved colors. 3. I hope that we all remain patient while this committee is working out a solution. Volunteer to help them if you have an interest in colors. 4. We all know change isn t always comfortable but let s all pull together & support whatever guideline change makes it through Rules Committee. 5. Last but not least, my sincerest apologies to the leaseholders involved for all the stress this has caused them. Carole Melander 7
8 Page 8 of 8 Creation Of A Casita Color Study Group Last Tuesday, January 13, I attended the inaugural meeting of a group of Leaseholders organized by John Gill. About 10 to 12 Leaseholders attended this meeting all of whom were concerned about and interested in finding a solution to the "Painting Your Casita" issue that surfaced over the past few weeks. Spencer Kluegel and I both attended this meeting as Leaseholders and not representing the Board of Directors. The basic goal of this group is to develop a process by which a leaseholders can select a Casita color scheme from a range of color tiles that fit the current language in the Architectural Committee's guidelines. This group may even want to suggest some revisions to these guidelines. This process would relieve the Architectural Committee from any involvement in Casita color schemes. Which is something I believe the Architectural Committee could and would support. The creation of this color selection process is not fully developed and this group is asking the Board of Directors to give them the authority and time to further develop a workable process. I fully support giving this group an opportunity and Board approval to peruse these goals. Doug Coughenower 6. " I appreciate the efforts of the AC and the paint group to 7. update the AC guidelines. For the moment, I see no reason to take action to approve repainting any casitas until the AC and the paint group have finished their work. We evidently have many casita colors which may fall outside the current guidelines. This effort to change the AC guidelines hopefully will solve our current problem and help the park to move forward. 8
