Approval of Minutes The minutes for August 30, 2017, were approved 3-0-0, with Mrs. Turgeon making motion to approve. III. Public Comment No public comments IV. Update on process to transfer Middleburg School property to County of Loudoun Mr. Brian Stocks, Director, Office of Support Services, provided an update on the potential surplus of the Middleburg School property. Mr. Stocks met with the Town of Middleburg, Mr. Buffington s staff, Ms. Turgeon, and staff from the County of Loudoun on October 24, 2017, to discuss the transfer. The Town of Middleburg Administrator, Martha Semmes, requested additional financial information from LCPS to be presented to the Middleburg Town Council. This information has been provided. That information, as well as information requested previously, has been presented to the Town Council. As of Monday, November 27, no decision has been made by the Middleburg Town Council regarding their interest in acquiring the property. The County of Loudoun Attorney s Office suggested they would work with Mr. DeVita directly on the transfer of the property. Mr. Hornberger stated that the inability of the County and the Town of Middleburg to make an agreement should not delay the School Board s ability to declare the property as surplus. Mr. Quanbeck voiced concerns about contracting services after the transfer. Mr. Stocks clarified that if the county maintains ownership, the County of Loudoun staff

recommendation to the Board of Supervisors would be that the daily upkeep and maintenance of the building and grounds would be the responsibility of MCCS. The MCCS Board would like to request a meeting with the County in order to discuss budgetary concerns. Mr. Hornberger stated he would like the CSC to make the surplus recommendation to the full board by March, 2018. Ms. Turgeon asked how the MCCS charter agreement would address MCCS ceasing to operate due to the financial hardship caused by the School Board surplusing the Middleburg School property. V. Requested modification to the current method of calculating LCPS administrative costs using the Federal Indirect Cost Rate Mr. Lenhart, Mr. Quanbeck, and Mr. Liscouski provided an update on the letter dated October 16, 2017, regarding the Federal Indirect Cost Rate (FICR) to determine LCPS s overhead costs. The charter school boards are concerned with the highly variable rate of the FICR and would like to use a predictable and stable rate. Mr. DeVita clarified that the school board maintains local control to negotiate overhead costs of the charter schools without an appeal to the State of Virginia and the rate is part of the legal agreement between LCPS and the charter schools. There was general agreement that the charter school contracts are legally binding and the use of the FICR was part of that agreement. Mr. Liscouski added that, during the most recent contract negotiations, MCCS felt that they had very little opportunity to really do anything but accept that rate. Mr. Hornberger stated that he was not eager to enter a renegotiation how the administrative costs are calculated since the MCCS contract was so recently ratified and the School Board did delay the increase of the FICR by one year. He mentioned that he is also interested in finding out what the variation is in cost per pupil (CPP) between elementary, middle and high school and include that information in any discussion about changing our current method of calculating administrative costs. Mrs. Turgeon voiced concern over using alternative methods to determine LCPS s overhead costs. She stated her greatest concern was the variable rate and its determination by a federal entity and not LCPS. If administrative costs doubled across the district, she would understand a similar increase for charter schools. However, that is not the case and she believes the FICR is a disincentive for charter schools. She suggested researching what methods are used nationwide. Mrs. Sheridan clarified that the discussion of the FICR was discussed at great length. She voiced concerns that the time being spent by LCPS staff on charter schools is greater than any other LCPS school and the FICR is justified. She stated she is willing to have conversations about changes to Virginia Code that could benefit the charter schools. Mr. Yetter clarified the indirect cost rate is a method to reflect expenditures against a grant. Mr. Hornberger explained that when the School Board renews HCA s contract, if modifications are made that would be beneficial to both charters, past precedent suggests those changes could apply to both charter schools. Mr Liscouski stated that he believes the administrative costs of charter schools has decreased and will continue to decrease as efficiencies are realized (e.g., CSC meetings every other month). Mrs. Turgeon requested Mr. Wertheimer be placed on the agenda for the January 31, 2018, meeting.

Mr. Lenhart reminded the CSC that both charter school contracts have been amended in the past and could be amended to change the calculation of administrative costs. He asked the CSC to review the FICR and to agree on a manageable number. Mr. Hornberger stated he would begin conversations with LCPS staff to research options. Mr. Liscouski suggested that he could foresee an opportunity to renegotiate parts of the current contract if the Middleburg School facility was transferred to the County. Mrs. Sheridan requested an EL update from both schools and Mr. Hornberger asked for that update to be sent to the CSC members via email. VI. Adjournment Meeting adjourned at 5:52 p.m. The next regular CSC meeting is scheduled for January 31, 2018, 4:30 p.m.
