This Agreement made this Avon Maitland District School Board Education Centre 62 Chalk Street North Seaforth, ON N0K 1W0 Telephone: (519) 527-0111 1-800-592-5437 (Ontario) Fax: (519) 527-0222 E-Mail: info@yourschoolsincanada.com yourschoolsincanada.com INTERNATIONAL STUDENT RECRUITMENT AGREEMENT Between: Avon Maitland District School Board (hereinafter Avon Maitland Schools Canada ) -and- (hereinafter the Recruitment Representative ) Whereas the Avon Maitland Schools Canada is interested in recruiting international students for its elementary and secondary school academic programs; and Whereas the Avon Maitland Schools Canada has a Recruitment Representative Procedure governing contractual relationships and the scope of activities of recruitment representatives; and Whereas the Recruitment Representative represents that it possesses the experience and expertise to recruit international students for academic programs at Avon Maitland Schools Canada; Therefore, the parties in consideration of the mutual covenants and consideration herein, the sufficiency of which is hereby acknowledged, agree to the following: TERM 1) This agreement is effective from the th day of, 2016 to the 31 st day of August, 2019 and will automatically renew for another three-0year term unless either party wish to change the terms and conditions or withdraw from the agreement. Avon Maitland Schools Canada OBLIGATIONS 2) Avon Maitland Schools Canada agrees to: a) Recognize the Recruitment Representative as its non-exclusive recruiter/agent responsible for student recruitment in b) Provide relevant promotional material, calendars, program brochures and application forms in the English language and other languages as required to the Recruitment Representative; c) Review and verify the adequacy of academic documentation and proof of the level of English language proficiency of applicants who apply to attend an Avon Maitland Schools Canada school, according to Avon Maitland Schools Canada s admission policies; d) Extend admission offers to suitable applicants, such offers at the sole and absolute discretion of Avon Maitland Schools Canada; e) Pay a commission fee to the Recruitment Representative on the following basis, i) 15% of monies paid in respect to first term or first year tuition fee, based on the original period of time for which they have registered; ii) Said commission rate is based on the tuition fee only, excluding taxes and association, union, benefit or other fees, charges or dues, by any and all students in their first term who applied to Avon Maitland Schools Canada through the Recruitment Representative as his or her representative. Following receipt of the complete registration information for a student(s) (See Appendix A) the Recruitment Representative will provide an invoice for the commission amount, which will be paid by Avon Maitland when submitted by the Recruitment Representative; iii). A 15% commission rate will be paid to the Recruitment Representative of monies paid in respect to the second term tuition fee by any and all said students returning for another term in the next school year, and any additional school years the student may choose to attend and such commission fee to be paid following receipt of the complete registration information and payment for a student(s). The Recruitment Representative will provide an invoice for the commission amount which will be paid after complete payment has been received from or on behalf of the student(s); f) If a recruited student does not pay their full tuition fees, the Recruitment Representative shall not be entitled to nor paid the applicable commission fee.

RECRUITMENT REEPRESENTATIVE OBLIGATIONS 3) The Recruitment Representative agrees to: a) Actively recruit prospective Chinese students residing in China and any other part of the world to apply to Avon Maitland Schools Canada for its elementary and secondary school programs. b) Become knowledgeable about Avon Maitland Schools Canada policies and procedures related to the applicable academic programs; c) Ensure that prospective students are correctly informed that they must begin attending classes at the school in which they have registered in the Avon Maitland Schools Canada no later than the starting date established on the school year calendar; d) Provide prospective students with information on fees and fee structure; e) Inform prospective students how to access Avon Maitland Schools Canada s web site (www.yourschoolsincanada.com) to obtain information on tuition, homestay, program of study and services provided by Avon Maitland Schools Canada; f) Assist prospective students in obtaining the required Student Visa, Study Permit, or other authorization from the Canadian Embassy or consulate, if the student so desires; g) Assist prospective students in obtaining the required health coverage and provide documentation of same to the Avon Maitland Schools Canada h) Upon request, provide Avon Maitland Schools Canada with authorized information regarding curriculum of local schools to assist Avon Maitland Schools Canada s schools in evaluating the prospective student s academic qualifications; i) Use Avon Maitland Schools Canada s logo s and images, owned outright and copyrighted by the Avon Maitland Schools Canada only as expressly permitted in writing by an authorized Avon Maitland Schools Canada Officer and not do anything by omission or commission which may jeopardise or adversely affect Avon Maitland Schools Canada s ownership or use of its marks and name; j) Adhere to legal requirements for local, provincial/state and /or national registration and provide copies of certification to Avon Maitland Schools Canada such as: i) Business registration number in Canada (if applicable); ii) Business registration number in jurisdictions in which the Recruitment Representative will be functioning on behalf of Avon Maitland Schools Canada (if applicable); and iii) A notarized translation copy of the official license or registration number and the jurisdiction where the agency is approved (if applicable). k) Inform all applicants of all offers of admission which shall state into which school and school program the applicant is being offered admission, and the confirmation deadline. If the applicant does not register in person prior to or on the deadline date for the beginning of the semester or school year for which the letter of acceptance pertains, the authority granted by the letter of acceptance will be withdrawn and the letter of acceptance considered null and void. Further, the Recruitment Representative shall inform all applicants of this provision. l) Send all supporting documentation by the applicant via the Recruitment Representative and include the following documentation: i) Original or certified true copies of school transcripts translated to English and notarized where applicable, from current registered school; ii) A cover letter summarizing all items in the application, and indicating the email contact of the agent; and iii) An original signed letter indicating that the applicant or parent(s) of the applicant (for those under the legal age of majority in the applicant s jurisdiction) has authorized the Recruitment Representative to act as his or her representative in the student application to Avon Maitland Schools Canada; TERMS OF PAYMENT 4) The Recruitment Representative agrees to the following terms of payment and conditions: a) The Recruitment Representative or the registering student will submit to Avon Maitland Schools Canada the full amount of the applicable tuition and other fees as detailed in the invoice to the Recruitment Representative by the prescribed dates plus the application fee when the application is filed with Avon Maitland Schools Canada; b) The Recruitment Representative will submit an invoice to Avon Maitland Schools Canada detailing the name(s) of the student(s), the gross amount of the tuition fees paid by each student and the amount of the agency fee to be paid to the Recruitment Representative (as per Term Section 2 f). A student will be declined entry into an Avon Maitland School if payment has not been made in full prior to the student start date, unless prior arrangements have been agreed upon. c) On behalf of the student, the Recruitment Representative agrees to submit the $250 application fee upon submission of the student application and a minimum $1,000 CAD deposit for each student registered within thirty (30) days of

submitting the completed application for students and payment in full by June 30 th for September entry and November 30 th for February entry. d) Avon Maitland Schools Canada will issue a conditioner letter of offer following submission of the application and application fee indicating that the student has been accepted conditionally and is qualified to attend an Avon Maitland School. The conditional offer will be replaced by an Official Letter of Acceptance after the student has paid the minimum $1,000.00 CAD deposit within 30 days of the application or the conditional offer of acceptance will be withdrawn. d) The Recruitment Representative will not pay or reimburse any part of the aforementioned commission fee to the student or to any member of the student family, employer or professional association; e) The Recruitment Representative acknowledges that Avon Maitland Schools Canada shall not reimburse any expenses incurred by the Recruitment Representative while engaged in the recruitment of prospective students. The Recruitment Representative is solely responsible for any and all expenses incurred by it while engaged in its obligations under this agreement; f) Acknowledge that Recruitment Representative has no authority to obligate or bind Avon Maitland Schools Canada, except as may otherwise be expressly provided in this Agreement; g) Make no guarantees, warranties or undertakings to applicants which establish or imply any responsibility to Avon Maitland Schools Canada; h) Notify Avon Maitland Schools Canada immediately of any changes in representation, succession, or loss or suspension of accreditation; i) Acknowledge that the Recruitment Representative will not subcontract recruitment activities to third parties or agencies, or pursue joint ventures relating to the recruitment of students for Avon Maitland Schools Canada without providing notification to Avon Maitland Schools Canada where applicable; j) Send supporting documentation directly to: Avon Maitland Schools Canada c/o Steve Howe 62 Chalk Street North Seaforth, ON Canada N0W 1K0 Email: showe@fc.amdsb.ca k) Inform prospective students as to the admission requirements at Avon Maitland Schools Canada. In the event that the Recruitment Representative is unable to answer questions concerning the admissions requirements after first reviewing the materials on the web site and the materials provided to the Recruitment Representative by Avon Maitland Schools Canada, the Recruitment Representative shall refer questions relating to applications to: Steve Howe, Program Administrator Avon Maitland Schools Canada 62 Chalk Street North Seaforth, ON Canada N0W 1K0 (519) 527-0111 ext. 132 Email: showe@fc.amdsb.ca REFUND POLICY 5) It is the policy of Avon Maitland Schools Canada to issue full refunds of tuition fees if notification is received prior to the start of the school year or semester. 100% of the tuition fee will be refunded in this case, however the application fee is non-refundable. If the student withdraws after the start of the school year or semester a prorated amount based on number of school days will be deducted from the refund. There will be no refunds after 60 calendar days of the school year or semester. AMENDMENT AND RENEWAL 6) This agreement may be amended for time to time as necessary with the concurrence of both parties and will be reviewed formally on an annual basis for renewal purposes. TERMINATION 7) Either party may terminate this Agreement without cause upon thirty (60) written notice to the other party. 8) Avon Maitland Schools Canada may terminate this Agreement for cause as of the date of written notice if the Recruitment Representative: engages in fraudulent and/or dishonest behaviour; practices any dishonest act; misrepresents Avon Maitland Schools Canada policies and procedures; engages in criminal activity; breaches any of the terms and conditions of this Agreement, including but not limited to the violation of intellectual property rights; fails to follow a direction of the Avon Maitland Schools Canada within the latter s prerogative under this Agreement; abandons the Agreement; or engages in an act injurious to its honour or reputation. 9) Upon termination of the Agreement, for any reason, Recruitment Representative agrees to: a) Return to Avon Maitland Schools Canada all informational material provided to Recruitment Representative, if requested by Avon Maitland Schools Canada; b) Cease using Avon Maitland Schools Canada copyrighted marks, logos, and brands in any dealings;

c) Refrain from holding himself/herself out as agent of Avon Maitland Schools Canada. INDEMNIFICATION 10) The Recruitment Representative shall indemnify and save harmless Avon Maitland Schools Canada and its employees, servants and agents against all costs, suits or claims on account of injuries, including death, to persons or damage to property as a result of or in the performance or non-performance of its obligations, including by its employees, servants, agents and/or representatives, under this Agreement. GENERAL PROVISIONS 11) This Agreement constitutes the entire Agreement between the parties and supersedes any prior Agreements or understanding whether oral or written between the parties hereto, and may only be amended by further agreement in writing. 12) This Agreement shall be governed in accordance with the laws of the Province of Ontario and Canada, as applicable. 13) This agreement shall be binding upon executors, and successors of the Parties hereto. 14) Nothing in this Agreement shall be construed as creating a joint venture, partnership or employment relationship between Recruitment Representative and Avon Maitland Schools Canada. 15) Either party may, from time to time, designate by written notice pursuant to this clause any other reasonable address or party to which notice or communication may be given. Such notice shall be deemed received when delivered to the premises or sent by fax or if mailed, ten (10) business days after mailing. All notices given pursuant to this Agreement shall be deemed to have been properly given if hand delivered (including courier) to the premises or if mailed, by registered or certified mail, or postage pre-paid 16) Avon Maitland Schools Canada will provide notice to the Recruitment Representative not less than 30 days prior to the expiry of the agreement about its interest in considering a renewal of the Agreement. At such time, each party agrees to negotiate, in good faith, the renewal of this Agreement. The Student Registration Process When the Recruitment Representative is ready to register a student with Avon Maitland Schools Canada, there are a number of steps that must take place in order to ensure a completed application is processed. The Recruitment Representative must create an Agency Account for the Avon Maitland on-line registration system and use that system to register a student to attend an Avon Maitland School. All three parts of the Avon Maitland On-line application must be completed and all supporting documents uploaded before a final application can be submitted. After submitting the on-line application, the Recruitment Representative will be contacted by a representative of Avon Maitland School Canada to confirm receipt of the application and begin the process of establishing a program for the student or students. Upon receipt of the Application Fee, Avon Maitland will issue a conditional offer letter indicating that the student applicant is qualified and approved for a position in an Avon Maitland School. After receipt of a minimum $1,000 CAD deposit, Avon Maitland will then provide a Official Letter of Acceptance and Custodianship documents (if necessary) and provide them to the Recruitment Representative. All students must have medical insurance prior to arriving in Canada. Avon Maitland can provide the insurance with our insurance partner, however a family is free to make their own insurance arrangement and the Recruitment Representative must provide proof that insurance along with proof that the insurance is recognized in Canada. Avon Maitland will issue an Invoice to the Recruitment Representative listing all the required fees. The application fee will be paid upon submission of the application along with a $1,000 CAD deposit by May 31 for September intake and November 30 for February intake. The remaining amounts on each invoice must be paid in full prior to the student s arrival at their school. The Recruitment Representative will provide transcripts from the current and previous school years at the student s current school to determine the grade level that the student is best suited while attending an Avon Maitland School. Upon arrival each international student will be assessed by our English as a Second Language team to determine what level of support for their English learning should be built into their program schedule. While the application is being completed, the Recruitment representative will collected pictures of the student and the student s family to include with a Letter to the Host Family from the student to assist Avon Maitland Homestay Services in locating the best possible host family for that student. When a host family has been secured Avon Maitland Homestay Services will provide a profile and pictures to the Recruitment Representatives for review by the student and the student s family. The recruitment representative will also provide a verified copy of the student s Immunizations, as under Canadian and Ontario law, there are vaccinations that every student attending our schools must have. This verified immunization record will be shared with our local Health Units and if the student arrives in Canada missing some of required immunizations, the Health Units have respectfully agreed to provide this as a service, free of charge. Once all of the application details are complete, the Recruitment Representative will provide the arrival date and time and flight information for the student, as well as the information for their return trip home at the end of the semester or school year. Arrangements will be made to pick up the student upon their arrival and transport them to the Avon Maitland District. The Airport Transfer fees listed on the application must be paid in full. If a student who is staying for a full semester or a full year, but wants to return home for Christmas, Avon Maitland will arrange transportation to the airport at a pre-determined fee.
