General Terms of Admission HEC Paris Summer School Program 1. Presentation The object of these general terms of admission (hereinafter referred to as the Terms ) is to define the rights and obligations of the parties as part of the admission to the Summer School program (hereafter referred to as the Program ) offered by HEC Paris. The content and applicable rules to the Program are specified in the Program guidelines that shall be given to each participant by HEC Paris at the beginning of the Program. These Terms shall govern the relationship between: and - The EESC HEC Paris, hereinafter referred to as HEC Paris The participant in the Program hereinafter referred to as the Participant and, as the case may be, - The person paying for the Program on behalf of the Participant, may he/she be different from the Participant, hereinafter referred to as the Client 2. Definitions Participant: individual benefiting from the training services delivered within the Program. Client: individual or company paying for Program on behalf of the Participant, if he/she/it is different from the Participant. 3. Scope These Terms are available electronically. The Terms shall apply to the Participant and, as the case may be, Client. Any application through the online admission platform or any payment made online through the internet site https://secure.ogone.com shall imply unconditional acceptance and full compliance with these Terms by the Participant and, as the case may be, by the Client, who declare to have read and understood them. These Terms shall take precedence over any other documents, contractual or otherwise. If any provision of these Terms should be declared invalid or unwritten, the other provisions shall remain in full force and shall be interpreted so as to comply with the original intent of the parties. HEC Paris reserves the right to modify these Terms at any time. In such case, the terms applicable to the Participant and, as the case may be, to the Client, shall be those in force on the date of the Participant s admission in the Program. 4. Purpose The Etablissement d'enseignement Supérieur Consulaire Hautes Etudes Commerciales de Paris, with a share capital of EUR 60 451 500, registered at the Paris Register of Businesses and Companies under number 817 759 186

Participants should apply on the admission platform to the Program on a timely manner, regarding HEC Paris application timetable. Once submitted, the Participant s application is examined by HEC Paris who shall, discretionarily, determine whether the Participant shall be admitted in the Program. The result of the examination process carried out by HEC Paris is displayed on the admission platform. It is the sole responsibility of the Participant to regularly check on this platform his/her status regarding the Program admission. Once his/her application is accepted by HEC Paris, the Participant is considered as enrolled in the Program, unless he/she withdraws from it or cancels his/her participation, according to article 7 below. The services provided by HEC Paris as part of Program shall include: Reception and guidance of Participants; Up to 42 hours of courses (conferences, guest speakers, etc.); Availability of sports facilities during opening hours; Individual access to the Program digital platform; Bus transportation to Paris from campus during the first weekend of the Program; On-campus accommodation. Such service is made available subject to Participant s respect of Internal Rules for HEC Campus Residences and subject to the signature of the housing agreement. May the housing agreement not being signed at last on the first day of the Program or may it be terminated, Participant s participation in the Program shall be canceled, pursuant to article 6 below. 5. Payments Payments can either be made by bank transfer or online by payment card (Visa, Mastercard...) at https://secure.ogone.com. May the Participant or, as the case may be, the Client, wish to pay by bank transfer, he/she shall ensure to clearly identify such transfer by adding on the bank order his/her full name, the year during which he/she will enroll in the Program and the following text: Summer Shcool Program Tuition Payment. Confirmation of such transfer shall be sent by the Participant or, as the case may be, by the Client, to admissionsummer@hec.fr. A first non-reimbursable payment corresponding to the application fee is required when the Participant submits his/her application to HEC Paris. A second payment corresponding to the tuition fee in full must be made within the payment period specified on the Program webpage, by the Participant or, as the case may be, by the Client. In any case, all payments must be done before the start of the Program. If the tuition fees are not received by HEC Paris within this payment period or before the start of the Program, the present agreement shall be immediately terminated, without any further requirement Page 2 sur 6

nor formality. May the Participant wish to attend the Program, he/she will have to start the whole admission process again. Prices shown are in Euros. They are net of taxes, as HEC Paris is not subject to VAT under the provisions of Article 261, item 4-4 of the General Tax Code. May the Participant or, as the case may be, the Client, pay online, he/she will receive a payment receipt by email, sent by the payment website. May the Participant or, as the case may be, the Client, pay by bank transfer, he/she may receive a payment receipt upon request to HEC Paris. 6. Cancellation by HEC Paris 6.1 Cancellation as the result of HEC Paris HEC Paris reserves the right to cancel any part of the Program in cases of force majeure, as defined by article 1218 of the French Civil Code in its version thereof in force on the day this agreement is executed. HEC Paris reserves the right at any time to cancel all or part of the Program if the number of participants is considered pedagogically insufficient, i.e., less than 15. In addition, may the professors teaching the Program activities be unavailable, HEC Paris may cancel all or part of the Program at any time. In such a case, HEC Paris shall let the Participant know of the Program cancellation as soon as possible. In case of cancellation, the Participant or, as the case may be, the Client shall provide HEC Paris with his/her bank account details to be reimbursed of tuition fees paid to HEC Paris in connection with the cancelled Program. The reimbursement shall be done within ninety (90) days from reception of the Participant s or, as the case may be, the Client s, bank account details by HEC Paris. Any reimbursement shall be made in euros. In addition, HEC Paris shall only by liable to reimburse tuition fees it has received from the Participant or, as the case may be, from the Client, exclusion of any taxes and/or fees paid by the Participant or, as the case may be, by the Client in connection with the initial payment made to HEC Paris. 6.2 Cancellation as the result of the Participant Pursuant to article 4, may the housing agreement not being signed at last of the first day of the Program, or if it is terminated, Participant s participation in the Program shall be automatically cancelled, without any further formalities. As the case may be, the following cancellation fees shall apply: If the cancellation happens between 60 and 45 calendar days before the start of the Program, HEC Paris will retain 50% of the tuition fee paid by the Participant or, as the case may be, by the Client, as a cancellation fee, If the cancellation happens less than 45 calendar days before the start of the Program, HEC Paris will retain 100% of the tuition fee paid by the Participant or, as the case may be, by the Client, as a cancellation fee. As the case may be, the Participant or, as the case may be, the Client shall provide HEC Paris with his/her bank account details to be reimbursed as specified above. The reimbursement shall be done within ninety (90) days from reception of the Participant s or, as the case may be, the Client s, bank account details by HEC Paris. Any reimbursement shall be made in euros. In addition, HEC Paris shall only by liable to reimburse tuition fees it has received from the Participant or, as the case may be, from the Client, exclusion of any taxes and/or fees paid by the Participant or, as the case may be, by the Client in connection with the initial payment made to HEC Paris. 7. Withdrawal and/or cancellation by the Participant 7.1 Withdrawal Pursuant to article L221-18 of the French Consumer Code, if the Participant s participation in the Program is funded by a natural person, the Participant shall have fourteen (14) days, to withdraw from the Program. This withdrawal period shall start from the day this agreement is concluded, i.e. from the day the admission information is displayed on the admission platform. In such a case, HEC Paris shall reimburse the Participant or, as the case may be, the Client from all sums paid to HEC Paris in the course of the agreement, unless the withdrawal request is received on or after the start of the Program. Any reimbursement shall be made in euros. In addition, HEC Paris shall only by liable to reimburse the sums it has received from the Participant or, as the case may be, from the Client, exclusion of any taxes and/or fees paid by the Participant or, as the case may be, by the Client in connection with the initial payment made to HEC Paris. 7.2 Cancellation At any time after the withdrawal period, the Participant may cancel his/her participation in the Program. However, and notwithstanding duly recognized cases of force majeure, HEC Paris shall apply the following cancellation fee: If the cancellation request is received by HEC Paris between 60 and 45 calendar days before the start of the Program, HEC Paris will retain 50% of the tuition fee paid by the Participant or, as the case may be, by the Client, as a cancellation fee, If the cancellation request is received by HEC Paris less than 45 calendar days before the start of the Program, HEC Paris will retain 100% of the tuition fee paid by the Participant or, as the case may be, by the Client, as a cancellation fee. In case of a force majeure event as defined by article 1218 of the French Civil Code in its version thereof in force on the day this agreement is executed, affecting the Participant s participation in the Program, the Participant shall let HEC Paris know as soon as possible. HEC Paris shall discretionarily determine whether the situation notified by the Participant is likely to be qualified as a force majeure event. As the case may be, the Participant s participation in the Program shall be cancelled and the Participant or, as the case may be, the Client shall be reimbursed of any sums he/she has paid to HEC Paris in connection with the Program. In any case, any reimbursement shall be made in euros and HEC Paris shall only by liable to reimburse the tuition fees it has received from the Participant or, as the case may be, from the Client, exclusion of any taxes and/or fees paid by the Participant or, as the case may be, by the Client in connection with the initial payment made to HEC Paris. 7.3 Withdrawal/cancellation request Any request to withdraw or cancel the Participant s participation in the Program (including in case of force majeure event) must be sent by Registered Mail with Delivery Confirmation to the attention of Ms. Elyse Michaels-Berger, to the following address: HEC Paris Elyse Michaels-Berger Director, Summer School Programs 1 rue de la Libération 78351 Jouy-en-Josas Cedex France As the case may be, the Participant s or, as the case may be, the Client s, bank details shall be attached to this request to enable HEC Paris to reimburse the Participant or, as the case may be, the Client. The reimbursement shall be done within ninety (90) days from reception of the Participant s or, as the case may be, the Client s bank account details by HEC Paris. 8. Intellectual property The paper or digital teaching materials and course content for the Program provided to the Participant by HEC Paris, including the media, prepared cases, and documentation tools, shall remain the intellectual property of HEC Paris. The Participant shall not, in all or in parts, use, publish, disclose, reproduce, or exploit such teaching materials and course content, in any manner whatsoever, without prior written consent of HEC Paris. 9. Data protection To enroll in the Program, the Participant fills out an online questionnaire providing his/her personal data. This personal data will be processed by computer for the following purposes: to select the Participant, to enroll him/her in the Program, to disclose his/her results, to manage any administrative, financial or pedagogical issue relating to the Participant and his/her housing during the Program, and for analytics and research purposes. HEC Paris undertakes not to transfer any personal data to any third party, except to its affiliate managing HEC Paris dormitory, AMAR 2. Under Law no. 78-16 of January 6, 1978 on Computing and Freedoms, the Participant shall have a right of access to his/her personal data, which he/she may exercise by emailing HEC Paris personal data protection department (donnees-personnelles@hec.fr). He/she shall also have the right to modify, correct or delete any of his/her personal data, which he/she may exercise by contacting the same department. Page 5 sur 6

10. Liability Enrollment in the Program implies that the Participant commits to comply with the internal regulations applicable on the site where the Program takes place as well as Internal Rules for HEC Campus Residences, which shall be provided to the Participant and signed by him/her at the time the Program starts. HEC Paris may not be held responsible for any damage or loss of property and personal effects claimed by the Participant, due to any prejudice whatsoever, whether caused directly or indirectly by the services provided. It is the sole responsibility of the Participant to ensure that he/she has subscribed to the necessary insurance policies to take part in the Program. In particular, the Participant shall subscribe to the following insurance policies: Health insurance; Civil liability, Medical expenses in France (if not covered by the Participant s health insurance), and Repatriation / assistance covering repatriation of the Participant from France to the Participant s home. 11. Settlement of disputes The Terms shall be governed by French law. In case of any disputes regarding these Terms, the parties agree to seek an amicable settlement. Failing this thirty (30) days after the beginning of the negotiations, whichever party takes the initiative may bring the case before the French competent court. Page 6 sur 6
