MEMORANDUM OF AGREEMENT Between JEFFERSON SCIENCE ASSOCIATES, LLC THOMAS JEFFERSON NATIONAL ACCELERATOR FACILITY (Newport News, VA, USA) And DEPARTMENT OF PHYSICS UNIVERSITY OF ROME TOR VERGATA (Rome, Italy) Jefferson Science Associates, LLC (JSA), the managing and operating contractor for the Thomas Jefferson National Accelerator Facility, hereafter referred to as JSA/Jefferson Lab, acting under its management and operating contract with the U.S. Department of Energy, located at 12000 Jefferson Avenue, Newport News, Virginia 23606, and the University of Rome Tor Vergata, 00173 Rome, Italy, hereafter referred to as University of Rome Tor Vergata, jointly execute this Memorandum of Agreement (MOA) in order to facilitate the exchange of Research Scholars. BACKGROUND AND PURPOSE This Memorandum of Agreement (MOA) between University of Rome Tor Vergata and JSA/Jefferson Lab is intended to broaden and strengthen the cooperation between these institutions by facilitating an exchange of Research Scholars. These Research Scholars will aid the Department of Physics at JSA/Jefferson Lab and will be supported in the pursuit of their doctoral study. 1
CONTRIBUTIONS OF THE PARTIES The University of Rome Tor Vergata will: (a) (b) (c) select and admit appropriately-trained research scholars to doctoral registration and recommend them to JSA/Jefferson Lab; appoint one or more supervisors in Experimental Hall B who will ensure that the scholars have received the appropriate training to make the best use of their time at JSA/Jefferson Lab and contribute to its research effort; maintain contact with the research scholars during their period at JSA/Jefferson Lab to ensure that the collaboration is working to the benefit of JSA, of the scholars concerned, and of the University of Rome Tor Vergata. JSA/Jefferson Lab will: (a) (b) (c) conduct discussions in advance with University of Rome Tor Vergata on the nature of the work to be carried out by the scholars during their period at Jefferson Lab; appoint a mentor for each research scholar who will be a primary point of contact for him/her at Jefferson Lab, and who will make brief reports on progress at agreed intervals to the University of Rome Tor Vergata supervisor(s), including drawing attention to any areas of difficulty that cannot be resolved locally; send University of Rome Tor Vergata at the end of the period a detailed report that will form part of the evaluation of the scholar and be kept on his/her file. FUNDING It is agreed that it will be of benefit both to the University of Rome Tor Vergata and JSA/Jefferson Lab for Research Scholars to spend periods of time at Jefferson Lab. JSA/Jefferson Lab agrees to pay travel costs to and from Jefferson Lab for such trips and JSA/Jefferson Lab agrees to pay the local expenses (lodging, per diem, medical insurance as needed) in such visits. In addition, JSA/Jefferson Lab will supply the Research Scholars with office space, computer facilities, and other amenities appropriate to a Jefferson Lab staff 2
member. JSA/Jefferson Lab has the discretion to pay for each Research Scholar to attend one domestic workshop or conference during each period of time spent at Jefferson Lab. This MOA is subject to the availability of funding under the terms of JSA s prime contract with the Department of Energy. PERSONAL PROPERTY/EQUIPMENT Should the need arise to transfer or loan equipment during the term of this agreement such transfer or loan will be implemented under a separate written agreement. INTELLECTUAL PROPERTY RIGHTS If the Parties are subject to international agreements (i.e. Protocols) between their Governments the Intellectual Property Provisions of that agreement will apply. In the event that no such agreement exits, Any SUBJECT INVENTION developed solely by an employee(s) of JSA/Jefferson Lab, shall belong to JSA/Jefferson Lab. If a SUBJECT INVENTION is developed solely by University of Rome Tor Vergata employee, then all rights to such SUBJECT INVENTION shall belong to the University of Rome Tor Vergata. If a SUBJECT INVENTION is jointly developed by the Parties, then all rights to such SUBJECT INVENTION shall jointly belong to the developing Parties. The Parties shall negotiate, under a separate agreement, who will pay for the preparation and filing of patent applications covering jointly developed inventions in one or more countries, who will prosecute such applications, who will maintain such applications during prosecution, and who will maintain any resulting patents. Patent applications covering jointly developed SUBJECT INVENTION(S) that also include a JSA/Jefferson Lab inventor shall contain the following statement: 3
This invention was made with Government support under Contract DE-AC05-05OR23177 awarded by the United States Department of Energy. The Government has certain rights in the invention. Specifically, the Federal Government shall have a nonexclusive, nontransferable, irrevocable, paid-up license to practice or have practiced for or on behalf of the United States the joint inventions developed under the JSA/Jefferson Lab contract with the U. S. Department of Energy. PUBLICATIONS Papers and publications may result from this collaboration. All institutions will be acknowledged in such publications and in the manner customary for scholarly publication. All publications (to include presentations) developed under this MOA are subject to the review procedures of each institution prior to publication. TERM OF AGREEMENT The MOA shall remain in effect for a term of 5 years from the latest date upon which all Parties have executed same, unless extended or terminated pursuant to Paragraph below. EXPORT CONTROL Each party will be responsible for fulfillment of applicable U.S. Export Control Laws and Regulations. MODIFICATION AND TERMINATION This MOA sets forth the entire and complete agreement between the Parties and may be modified only by written mutual agreement. This MOA may be terminated prior to its expiration by any of the Parties upon written notice to the other Party communicated not less than sixty (60) days in advance. There shall be no detriment to the agreement already in place for research scholars involved in research at JSA/Jefferson Lab. 4
