Tournament rules Prodigy Math Madness Tournament (the Tournament ) from 12:01 a.m. on March 5th, 2018 EDT to 11:59 p.m. on April 13th, 2018 EDT ( Tournament Period ) 1. HOW TO PARTICIPATE SMARTeacher Inc. (the Company ) NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. PURCHASE DOES NOT INCREASE ODDS OF WINNING. Void where prohibited by law. By participating in the Tournament, you acknowledge that you have read and agree to be bound by these Tournament Rules and the decisions of the Company, and that you satisfy all eligibility requirements. To enter the Tournament, you must be 18 years of age or older and have a free Prodigy Teacher account. You must have a class of at least 10 students answer at least 1 math question on Prodigy during the Tournament Period to be entered into the Participation Draw. Each class is eligible for one entry into the draw. In order to be the Tournament Winner and obtain the corresponding prize you must be the class with at least 10 students that answered the most questions per student during the Tournament Period. See section 4 for more details. Participants subject to all notices posted online including but not limited to Company s Privacy Policy and Terms & Conditions. 2. ELIGIBILITY Tournament is open to all residents of the United States from participating districts Prodigy has partnered with, who are 18 years of age or older at the Tournament opening date. For any participant who has not reached the age of majority, parent or guardian consent is necessary to enter the Tournament. Where appropriate, the terms participant and winner mean parent or guardian of that person. Employees of the Company, as well as such employees immediate family (father/mother, brother/sister, son/daughter) or persons living under the same roof are not eligible to enter this Tournament. 3. DESCRIPTION OF PRIZE(S) Weekly Participation Prizes: Week 1 (March 5th - 12th) Criteria: District with the most unique student logins between 12:01 AM March 5th and 11:59 PM March 12th 1. Chromebook

a. School District Curriculum or Technology Administrator can assign device to the school of their choosing 2. Recognition on social media sites The total approximate retail value of the prize is $229.00 CAD. Week 2 (March 14th - International Pi day) Random Draw: Criteria: Top 10 classes with at least 10 active students with the highest questions answered per student on March 14th, 2018 are eligible to be entered into the draw. 1. 90-day Prodigy memberships b. The number of memberships will be equivalent to the number of students in the class up to a maximum of 30 2. Recognition on social media sites Week 3 (March 18th - 24th) Criteria: Top 10 students that belong to the school district with the highest number of questions answered per student for the week of March 18th to March 24th 1. 90-day Prodigy memberships b. The number of memberships will be equivalent to the number of students in the class up to a maximum of 30. 2. Recognized on social media sites (If authorized by teacher) Tournament Winner Prizes: The Tournament Winner (school) will receive: 1. A Prodigy Trophy, 3 Prodigy T-Shirts, and 3 Lenovo N23 80YS0000US 11.6" LCD Chromebook - Intel Celeron N3060 Dual-core (2 Core) 1.60 GHz - 2GB LPDDR4-16GB Flash Memory. The total approximate retail value of the prize is $780.00 CAD. The Tournament Winner (class) will receive: 1. 90-day Prodigy premium memberships

b. The number of memberships will be equivalent to the number of students in the class up to a maximum of 30. 2. A Prodigy sponsored Pizza party (If approved by participating school district and class teacher). a. A school district contact must initially pay for the pizza, from a local establishment of their choosing. b. A copy of the order receipt must be sent to partnerships@prodigygame.com within 30 days of being announced the winner c. Prodigy will reimburse the food order purchase up to a maximum of $100 USD d. A check will be mailed to the order purchaser within 14 days of receiving order receipt 3. 30 Prodigy pencils and stickers for the winning class 4. A Prodigy T-Shirt for the teacher of the winning class The total approximate retail value of the prize is $930.00 CAD. Participation Draw Prize: Criteria: Any class that had at least 10 students answering questions on Prodigy between March 5th and April 13th will be entered into the draw 1. 90-day Prodigy premium memberships b. The number of memberships will be equivalent to the number of students in the class up to a maximum of 30. 4. PROCEDURE FOR AWARDING PRIZES Weekly Participation Prizes: Week 1 (March 5th - 12th) On March 15th, 2018 the Company will identify the school district with the highest number of unique student logins on Prodigy between 12:01 AM March 5th and 11:59 PM March 12th. The winning district will be announced via email to the district curriculum or technology administrator. The district curriculum or technology administrator can assign the awarded Chromebook to the school of their choosing. The first selected participant to correctly answer the mandatory mathematical skill-testing question shall be declared the winner, subject to meeting all the conditions described in these rules. Week 2 (March 14th - International Pi day) On March 17th, 2018, the Company will identify the top 10 classes with at least 10 active students with the highest questions answered per student from March 14th, 2018. A random draw will then be conducted between the 10 classes for the Participation Prize of 90-day Prodigy premium memberships,

the number of memberships will be equivalent to the number of students in the class up to a maximum of 30. The winning class will be notified via email. The first selected participant to correctly answer the mandatory mathematical skill-testing question shall be declared the winner, subject to meeting all the conditions described in these rules. Week 3 (March 18th - 24th) On March 28th the Company will identify the school district with the most questions answered per student between 12:01 AM March 11th and 11:59 PM March 26th. the Company will then identify the class within the identified school district with the most questions answered per student between 12:01 AM March 11th and 11:59 PM March 26th. The winning class will receive 90-day Prodigy premium memberships, the number of memberships will be equivalent to the number of students in the class up to a maximum of 30. The winning class will be notified via email. The first selected participant to correctly answer the mandatory mathematical skill-testing question shall be declared the winner, subject to meeting all the conditions described in these rules. Tournament Winner Prizes: On April 16th, 2018 the Company will identify the winning school with the highest number of questions answered per student and the winning class with the highest number of questions answered per student during the Tournament Period. The first selected winners to correctly answer the mandatory mathematical skill-testing question shall be declared the winner, subject to meeting all the conditions described in these rules. The winning class will be notified via email. The Principal of the winning school will be notified via email. Participation Prize: On April 16th, 2018 the Company will conduct a random draw from all classes that participated during the Tournament Period. In order to be a participant a class must have at least 10 students login to Prodigy during the Tournament Period. The class will be awarded 90-day Prodigy premium memberships, the number of memberships will be equivalent to the number of students in the class up to a maximum of 30. The winning class will be notified via email. The first selected participant to correctly answer the mandatory mathematical skill-testing question shall be declared the winner, subject to meeting all the conditions described in these rules. All winners will be contacted by e-mail during the week following the draw and should claim their prize as instructed by the Company by no later than five days after the date they are initially contacted. If a winner cannot be reached within three days following the first attempt of contact, incorrectly answers the mathematical skill-testing question, declines the prize, or fails to return the required release form, the prize shall be forfeited and the Company has the right, at its sole discretion, to select another winner.

5. GENERAL RULES 5.1. To be declared a winner, the selected participant must first correctly answer a mathematical skill-testing question. 5.2. Each winner shall sign a release declaring their eligibility as stipulated in Section 2 of these rules; agreeing that their name may be used for advertising purposes related to this Tournament free of charge; and releasing the Company as well as its respective directors, officers and employees (the Tournament Parties ) from all liability for any damage or loss arising from participation in this Tournament or from the awarding, acceptance or use of the prize. 5.3. The prize shall be accepted as is and may not be exchanged or refunded for an amount of money, sold or transferred. No substitutions will be allowed. Any unused portion of a prize will be forfeited. 5.4. If the prize cannot be awarded as described in these rules, the Company reserves the right to substitute a prize or prize component with another of comparable value, as determined in its sole discretion. 5.5. Refusal to accept the prize releases the Tournament Parties from any obligation toward the winner. 5.6. If a participant makes any false statement, (s)he will be automatically disqualified from the Tournament. 5.7. The Tournament Parties assume no liability for any loss, damage or injury, including without limitation: (i) lost, stolen, delayed, damaged, misdirected, late, destroyed, illegible or incomplete entries; (ii) loss, theft or damage to software or computer or telephone data, including any breach of privacy; (iii) fraudulent calls; (iv) inability of any person to participate in the Tournament for any reason including mistaken addresses on mail or e-mail; technical, computer or telephone malfunctions or other problems with computer on-line systems, servers, access providers, computer equipment, or software; congestion on the internet or at any website, or any combination of the foregoing; (v) damage to any person s computer, including as a result of playing or downloading any material relating to the Tournament; (vi) any delay or inability to act resulting from an event or situation beyond their control, including a strike, lockout or other labour dispute at their location or the locations of the organizations and businesses whose services are used to administer this Tournament; or (vii) prizes that are lost, damaged or misdirected during shipping. 5.8. The Company reserves the right to cancel or suspend this Tournament should a virus, bug or other cause beyond their reasonable control corrupt the security or proper administration of the Tournament. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Tournament is a violation of criminal and civil laws. Should such an attempt be made, the Company reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

5.9. All personal information, such as name and contact information, is collected by the Company for the purposes of administering this Tournament and shall be governed under the company s existing Privacy Policy. By entering this Tournament, you agree to be bound by the Company s existing Privacy Policy. If the identity of a participant is disputed, the authorized account holder of the email address submitted at the time of entry will be deemed to be the participant. The individual assigned to the e-mail address for the domain associated with the submitted email address is considered the authorized account holder. A selected participant may be required to provide proof that (s)he is the authorized account holder of the e-mail address associated with the selected entry. All entries must be submitted from a valid e-mail account that may be identified by reverse domain name search. The sole determinant of time for the purposes of receipt of a valid entry in this Tournament will be the Tournament server. 5.11. Odds of winning depend on the number of eligible entries. All entries that are incomplete, illegible, damaged, irregular, have been submitted through illicit means, using any robotic, automatic programmed method that artificially increases the odds of winning or do not conform to or satisfy any condition of the rules may be disqualified by the Company. The Company is not responsible for any errors or omissions in printing or advertising this Tournament. 5.12. The Company reserves the right to amend the Tournament rules or to terminate the Tournament at any time without any liability to any participant. Any amendments to these Tournament rules will be posted on the Tournament Details Page. 5.13. By entering, you agree to abide by the Tournament rules and the decisions of the Company, which decisions are final and binding on all participants. February 23rd, 2018
