The program is particularly well-suited for recent college graduates who are considering law school and can pave a career path for those who have decided not to attend law school. The core paralegal groups are Corporate and Litigation, both of which offer comprehensive on-the-job training designed to help integrate new paralegals into various practice areas. Interactive formalized training, in addition to as-needed peer assistance, ensures that paralegals are knowledgeable and well prepared to provide crucial support to our legal teams. Corporate Paralegal Program Because of the firm s cutting-edge corporate practice, the Corporate Paralegals at Cleary Gottlieb are exposed to a wide variety of complex corporate transactions and work with some of the most knowledgeable attorneys in the country. As a result of the firm s leading international practice, especially in Latin America, Corporate Paralegals are exposed to the latest cross-border transactions. The Corporate Paralegals are expected to be able to work independently and equally well as part of a team. The Corporate Paralegals work under the direct supervision of the attorneys and are expected to provide assistance on a vast array of projects and tasks, which include, but are not limited to: Due Diligence Assist attorneys during due diligence investigations. Corporate Paralegals are responsible for gathering and organizing diligence documents for attorneys and providing assistance with the management of virtual data rooms. Preparation for and Attendance at Closings Assist attorneys with the closing preparation for various types of transactions, including assisting the clients and attorneys during the closing. Closing Documents Management Assist with the organization and management of closing documents. Corporate Paralegals are responsible for organizing and distributing closing documents. Entity Formation Preparation and filing of certificates of formation, certificates of incorporation and foreign qualifications of companies and drafting by-laws and resolutions. Research Corporate Paralegals are trained and routinely perform research using various search engines and resources. Translations Assist attorneys by translating documents and interpreting for clients and/or attorneys during meetings, phone conferences, closings and/or via email. Interaction Liaise with attorneys, clients, government agencies and service providers globally. Filings Assist in the preparation of basic filings with the Securities and Exchange Commission (SEC) and other government agencies. 6

Litigation Paralegal Program Cleary Gottlieb is recognized as one of the top litigation firms in the world. The Litigation Paralegals are able to work on a wide variety of matters, such as securities, derivatives, M&A, sovereign debt, investment treaties, antitrust, bankruptcy, white-collar crime, employment, executive compensation, intellectual property and general commercial disputes, giving them exposure to various federal, state, governmental and international practices. Working closely with lawyers, the Litigation Paralegals are invaluable members of the teams assisting with prominent and newsworthy matters. Litigation Paralegals assist during each phase of the litigation, arbitration, enforcement, bankruptcy/restructuring or pro bono matter. Common tasks that Litigation Paralegals assist with include, but are not limited to: Recordkeeping Maintain all case files and records. Litigation Paralegals are responsible for keeping case files organized and easily accessible by all members of the team. Court Filings/Service Assist lawyers with the preparation and filing/service of court and discovery documents. Litigation Paralegals are responsible for cite/ quote checking, conforming citations to The Bluebook format, KeyCiting/ Auto-Citing, proofreading, preparing both hard copy and electronic versions of all associated documents and maintaining organized case files in various databases. Deposition, Hearing, Interview and Meeting Preparation Assist with and attend depositions, hearings, client and expert interviews and client meetings. Litigation Paralegals prepare the relevant case files, coordinate logistics and use their written and verbal language skills. Document Collection/Review Litigation Paralegals assist lawyers in collecting and organizing hard copy files and electronic data. They also coordinate with the firm s Practice Support and lawyers to ensure accuracy and facilitate the review of documents during the discovery phase of a matter. 8

Document Productions Assist with the preparation and delivery of outgoing document productions and with processing incoming document productions. Litigation Paralegals assemble relevant files, coordinate with the firm s Practice Support and e-discovery attorneys and maintain detailed records regarding all incoming and outgoing document productions. Trial/Arbitration Litigation Paralegals often accompany lawyers to trial/ arbitration and provide support in multiple ways, including preparing all relevant files to be used before and during the trial/arbitration, coordinating travel and hotel accommodations, arranging the delivery of files to the trial/ arbitration location, assisting in the logistics of the trial/arbitration office/conference rooms and handling files during court/hearing proceedings. Research Litigation Paralegals are trained in and perform LexisNexis/Lexis Advance, Westlaw/Westlaw Next, internet and field research. Translations Litigation Paralegals are looked to for their foreign language fluency by translating documents and interpreting for clients and/or lawyers during interviews/intake meetings and phone calls. Interaction Litigation Paralegals interact with clients, service providers, other counsel and our Washington, D.C. and international offices. Clients range from large international corporations to indigent pro bono individuals. 9

Pro Bono and Public Service Reflecting our belief that it is a privilege to practice law and a duty to give back to the community, approximately two-thirds of all our lawyers participate in pro bono and public service. Transactional and litigation lawyers provide services without fees in a variety of areas, including asylum and immigration, civil rights and discrimination, criminal defense, housing litigation, microfinance and community development law. As a result of the firm s involvement in pro bono work, paralegals have the unique opportunity to do service work in addition to their general responsibilities. I have always had a strong interest in public service and all I had to do was voice that and I was given the opportunity to channel that interest into pro bono. I was initially assigned a few pro bono projects to participate in, and eventually coordinate. I went from being a paralegal helping to collect client information for our Stop and Frisk project, to eventually coordinating the training and staffing for the project. For two years in a row, I was also given the opportunity to coordinate the week-long Legal Outreach high school externship program. My coordination of those projects eventually prepared me for my current position at the firm as the full-time Pro Bono Coordinator. Having those invaluable experiences not only made my time as a paralegal so rewarding, but it also encouraged me to stay beyond my two-year commitment to pursue the leadership opportunities that eventually solidified my purpose and place at the firm. I have had the opportunity to work closely with associates and partners on a wide variety of matters, including clemency, asylum, and vacatur applications, and challenging provisions of a state law. Cleary Gottlieb is also dedicated to community outreach. As part of the partnership with local public high schools, I have worked with seniors to navigate the college application process.
