ORDINANCE NUMBER 165, 2007 * Authorizing the Organization of the Erie County Gaming Revenue Authority WHEREAS, the Economic Development Financing Law, Act of August 23, 1967 P.L. 251, as amended, 73 P.S. 371, et seq, authorizes counties to organize authorities; and, WHEREAS, the Pennsylvania Race Horse Development and Gaming Act, Act of July 5,2004 P.L. 572, as amended, 4 PA.C.S.A. 1403 (c)(2)(v) authorizes counties to administer municipal grants through its economic development authority; and, WHEREAS, the County of Erie is desirous of organizing an authority for the purpose of administering municipal grants. BE IT ENACTED by the County Council of the County of Erie, that L An authority to be known as the Erie County Gaming Revenue Authority is hereby organized pursuant to the provisions of the Economic Development Financing Law, Act of August 23, 1967 P.L. 251, as amended, 73 P.S. 371, et seq, the Pennsylvania Race Horse Development and Gaming Act, Act of July 5, 2004 P.L. 572, as amended, 4 PA.C.S.A. 1403 (c)(2)(v) and the Home Rule Charter of the County of Erie; 2. The Articles of Incorporation of the Erie County Gaming Revenue Authority in the form attached as Exhibit A to this Ordinance are hereby adopted and approved as the Articles of Incorporation for the Authority; 3. Members of County Council and the County Executive are hereby authorized to execute these Articles of Incorporation; 4. Notice of the adoption of this Ordinance shall be published at least one time in the Erie County Legal Journal and the Erie Times-News; 5. Not less than three days after publication of said notice the Articles of Incorporation of the Erie County Gaming Revenue Authority shall be filed with the secretary of the Commonwealth of Pennsylvania with proof of publication of the notice. ARTICLES OF INCORPORATION OF THE ERIE COUNTY GAMING REVENUE AUTHORITY * The County of Erie hereby incorporates the Erie County Gaming Revenue Authority and sets forth the following as its Articles of Incorporation: 1. The name of the Authority shall be the Erie County Gaming Revenue Authority. 2. The Authority is formed pursuant to the provisions of the Economic Development Financing Law, Act of August 23,1967 P.L. 251, as amended, 73 P.S. 371, et seq., the Pennsylvania Race Horse Development and Gaming Act, Act of July 5, 2004 P.L. 572, as amended, 4 PA.C.S.A. 1403(c)(2)(v) and the Home Rule Charter of the County of Erie. 3. The purpose for which the Authority is created is to administer municipal grants and otherwise perform the functions ofthe County's economic development authority as authorized by the Pennsylvania Race Horse Development and Gaming Act, specifically section 1403(c)(2)(v), thereof. 4. The Authority formed under these Articles ofincorporation shall have the following powers: a. to administer and make municipal grants ofless than $25,000; b. to administer municipal grants of$25,000 or more but subject to the final approval of such grants by Erie County in its normal legislative process; c. subject to the limitations set forth in subparagraphs 4.a. and 4.b. above to administer municipal grants for the Erie County Revitalization Fund. 5. The incorporating municipality is the County of Erie, a third class county of the Commonwealth of Pennsylvania operating under its Home Rule Charter. Thereafter, whenever a vacancy has occurred or is about to occur by reason of the expiration of the term of any member, the governmental body shall appoint a member to the Board for a term of five years from the date of expiration of the prior term to succeed the member whose term has expired or is about to expire. 7. The term ofexistence of the Authority shall be 50 years.

8. The organization of this Authority was authorized by Ordinance of the County Council of the County oferie duly adopted 2007 and thereafter duly approved by the County Executive as authorized by the Home Rule Charter of the County oferie on 2007.
