School Sample The parties have agreed as follows : CLAUSE 1 : SCHEDULE OF INTERNSHIP The internship will start on / /20 and end on / /20 The following contract can be subject to request for an amendment modifying the effective date by the company and student in accordance with the Academic Coordinator. It is not to exceed 6 months per academic year within the same company. Hours to work per week : In case overtime is required by the company on specific days, these must be indicated : CLAUSE 2 : TERMS AND CONDITIONS The company/employer agrees to instruct the trainee in any practical training needed in accordance with overall objectives, training program and credits. The trainee will have the following responsabilities : CLAUSE 3 : GOALS AND OBJECTIVES This internship should enable the student to apply knowledge and academic tools learned at school on real working conditions, identify his/her skills, as well as strenghten his/her professional development. It is an integrated part of his/her Academic program and should be relevant to the major field. The trainee should perform professional tasks to learn and observe beyond the scope of the company s environment and thus not solely to comply as a subordinate. The company designates a person who will be responsible to instruct, mentor and supervise the trainee. Both parties agree to the Internship Guidelines and Procedures document and will jointly maintain contact over student progress or any difficulties that may arise. CLAUSE 4 : CONFIDENTIALITY AND REGULATIONS The trainee is required to follow the rules of the company and sign a copy of the work regulations form. The trainee also adheres to work schedules, health and safety regulations. The trainee agrees to observe business confidentiality and commits to maintain official documents unavailable to public eye unless otherwise provided in a written agreement by the company. Complete assignments, activity reports as well as any project evaluation associated with internship will remain in the possession of Icoges Business and Management School for filing purposes only. Should difficulties arise during the course of the internship, the company will notify Icoges School of Business and Management by registered letter providing any poor work performance details or problems. Any disciplinary action can only be decided by Icoges School of Business and Management. In such case, the internship contract can be ended by the company in compliance with Clause 10 stated in the following contract. Page 2 sur 7

School Sample CLAUSE 5 : PAYMENT Payment is to be made and assessed by the company. It will not be subject to French legislation if duties are performed in a non-french based company. Payment will be according to the general French practices if duties are performed in a French based company.( Refer to ICOGES staff If needed). CLAUSE 6 : SOCIAL SECURITY SYSTEM During the course of his/her internship, the trainee can still benefit from French student social security cover. International internships are to be reported prior to student departure abroad and should receive French social security services approval. The following terms are subject to conformity with legislation applied in host country. 6.1 Sickness coverage : 1) French specific coverage for students : - Internships completed by Europeans within the European Union require a European Health Protection card to be issued at least 2 weeks prior to departure. Cards can be delivered by the Health private insurance the student is affiliated to. - Internships completed by French students in Quebec require a SE401Q official form (104 for internships in companies and 106 for internships in Universities). Abroad health expenses can be reimbursed by subscribed health private insurance when the student returns home given he/she provides evidence. Discrepancies can be found as reimbursement is based on French health care base fare. It is therefore highly recommended to subscribe to a designated health care cover contract which is valid for the country of destination for the overall internship period. Note : In case the company provides health coverage based on local legislation (see 2 below), the student can choose to benefit from it. Before submitting such a choice, he/she will extensively check on offered guarantees. 2) Company coverage : In checking the appropriate box, the company states hereforth that it is providing health coverage to the trainee in compliance with local legislation : YES (French social coverage is to be maintained on top of the one issued by the company) NO (French social coverage is solely to be maintained) In case none is checked, clause 6.1 1 will be used as is. 6.2 Student cover in the event of work-related accident abroad: 1) In order to benefit from French work-related accident protection, the present contract is : - a non-indemnity contract. - to be performed in the company stated in the present contract only. - to be performed in the country stated in the present contract only. 2) The company is the one responsible for declaring said accident to the school in which the intern is enrolled and it is address within 48 hours. School Sample 3) In the event of an accident, coverage will be determined when: - The accident occured in the workplace during workhours. - On the way to the workplace. - On the way to the internship workplace whether beginning or end from the intern s home in France to the final destination abroad. - While on a defined mission requested by the company. 4) In case one of the conditions defined in 6.1-1 is not fulfilled, the company agrees to be responsible for the intern s work-related accidents, work-related illnesses and to proceed the administrative appropriate declaration depending on the situation. 5) In any case : - In the event of a work-related accident during the internship, the company must declare it immediatly to the educational authorities he/she depends on. - In case the intern is on a defined mission due to the internship abroad or away from premises, the company will have to take on any related insurance coverage. CLAUSE 7 : Civil liability and insurance Each party declares that it must provide civil liability coverage to the intern. Regardless of the content of the internship and of the host country, the intern certifies that he/she holds personal civil liability covering any personal actions (repatriation, legal assistance etc.) In case the company lends a vehicule to the intern, the employer will have to check for insurance policy and appropriate coverage. CLAUSE 8 : Absence and contract termination Temporary leave : During the course of the internship, the intern will be entitled to some time off providing minimal due time for the internship is completed. Any unjustified absence must be reported to the Responsible Coordinator in writing. Interruption définitive : In case either party wishes to terminate the contract, they may do so in writing to the other 2 parties. The final decision on whether to cancel the internship will be made after common consultation. CLAUSE 9 : Internship Evaluation Upon completion of the internship, the company will deliver two original documents of the internship certificate and will complete an evaluation sheet (appendix 2) to be returned to Icoges. The intern will have to provide a detailed internship report and send it to Icoges in accordance with guidelines. The report may have to be presented for oral examination. The intern will have to submit a copy of his/internship report. The successive hosting of interns undertaking internships in a certain post under internship contracts is only possible after a waiting period equal to a third of the duration of the previous internship. This clause is not applicable when the previous internship was curtailed by the student before the end of the contract. Page 4 sur 7

Any dispute that has not been settled out of court will be submitted to the relevant French jurisdiction. School Sample Attached-document : Appendix 1 : Charter of student placements in companies APPENDIX 1 (In accordance with the provisions of Article 5 from Decree n 2006-1093 of August 29th 2006) I INTRODUCTION STUDENT WORK PLACEMENT CHARTER Today, the development of work placements is crucial to the professional orientation and integration of young people. Work placements enable theoretical knowledge to be used in a professional setting and give students experience of the business world and work. From this point of view, it is vital to underscore the pedagogical aim of work placements, which means that work placements cannot take place without reference to the relevant course. On no account may work placements be considered as employment. The aim of this charter, which has been drafted by government departments, representatives from companies, representatives of higher education establishments and student representatives, is therefore to stabilise the way work placements are carried out, whilst enabling them to be developed in a way that is of benefit both to young people and to businesses. II SCOPE AND DEFINITION 1 Scope of the charter The charter applies to all work placements of students in companies, without prejudice to the particular rules applicable to regulated professions. 2 The work placement The work placement forms part of a pedagogical project and is meaningful only with respect to this project. It follows that the work placement: - enables knowledge to be put into practice in aprofessional setting; - facilitates movement from the world of higher education to the business world. On no account may work placements be considered as employment. III PROCEDURES RULING WORK PLACEMENTS 1 Formalising planned work placements Work placements are confirmed in liaison between a member of teaching staff from the establishment, a representative of the company and the student. The planned work placement is formalised in the agreement signed by the educational establishment, the company and the student. 2 The Agreement The agreement specifies the commitments and responsibilities of the educational establishment, the company and the student. The mandatory sections are specified in an appendix to the charter. The duration of the work placement is specified during the initial contacts between the educational establishment and the company. The student is kept informed of this. The supervisor from the educational establishment guarantees the coherence of the aims of the work placement and those of the training course, in line with the principles of this charter. Each educational establishment decides on the value they place on work placements planned as part of the academic course. The exact methods of assessment are specified in the agreement. b Assessment of the work placement The signatories of the agreement are invited to give their assessment of the quality of the work placement. IV COMMITMENTS OF THE PARTIES 1 Commitment of the student in respect with the company The student undertakes to : - fulfil their mission and be available for the tasks entrusted to them;- observe the company rules, its codes and culture; - observe the non-disclosure requirements established by the company; - write, where required, the report or dissertation for the set deadline: this document must be presented to the company managers before being presented for academic purposes (where the content makes this necessary, the dissertation may, at the request of the company, remain confidential). 2 Commitment of the company with respect to the student The company undertakes to : - offer a work placement in line with the pedagogical project defined by the educational establishment; - welcome the student and provide them with the resources for them to be successful in their mission; - appoint a work placement supervisor or supervisory team with the task of * guiding and advising the student; * informing them of the rules, codes and culture of the company; * enable their integration into the company and provide access to necessary information; * help them to gain the necessary skills; * monitor their work regularly; * assess the quality of the work done; * advise them with respect to their professional project; - write a work placement certificate describing the missions performed which can be enclosed with the student's CV in the future. 3 Commitment of the higher education establishment with respect to the student The educational establishment undertakes to : - define the objective of the work placement and ensure that the proposed work placement meets these objectives; - help the student look for a work placement; - prepare the student for the work placement; - supervise the student throughout their work placement, by appointing a member of teaching staff who will ensure that the work placement runs smoothly; provide the latter with the tools necessary for the student to appraise the quality of the work placement; - for higher education courses for which it is a requirement, guide and advise them in writing their work placement report or dissertation and organise its presentation, including allowing a representative of the company to be present 4 Commitment of the company and the educational establishment The company and higher education establishment undertake to exchange the necessary information before, during and after the work placement. They will also observe their respective rules with respect to non-disclosure and professional practice. 5 Commitment of the student with respect to the educational establishments The student undertakes to give an appraisal of the quality of their work placement to their educational establishment. Work placements enable theoretical knowledge to be used in a professional setting and give students experience of the business world and work. From this point of view, it is vital to underscore the pedagogical aim of work placements, which means that work placements cannot take place without reference to the relevant course. On no account may work placements be considered as employment. The aim of this charter, which has been drafted by government departments, representatives from companies, representatives of higher education establishments and student representatives, is therefore to stabilise the way work placements are carried out, whilst enabling them to be developed in a way that is of benefit both to young people and to businesses. II SCOPE AND DEFINITION 1 Scope of the charter The charter applies to all work placements of students in companies, without prejudice to the particular rules applicable to regulated professions. 2 The work placement The work placement forms part of a pedagogical project and is meaningful only with respect to this project. The trainee agrees to observe business confidentiality and commits to maintain official documents unavailable to public eye unless otherwise provided in a written agreement by the company. Complete assignments, activity reports as well as any project evaluation associated with internship will remain in the possession of Icoges Business and Management School for filing purposes only. Should difficulties arise during the course of the internship, the company will notify Icoges School of Business and Management by registered letter providing any poor work performance details or problems. Any disciplinary action can only be decided by Icoges School of Business and Management. CLAUSE 6 : SOCIAL SECURITY SYSTEM During the course of his/her internship, the trainee can still benefit from French student social security cover. International internships are to be reported prior to student departure abroad and should receive French social security services approval. The following terms are subject to conformity with legislation applied in host country. 6.1 Sickness coverage : 1) French specific coverage for students : - Internships completed by Europeans within the European Union require a European Health Protection card to be issued at least 2 weeks prior to departure. Cards can be delivered by the Health private insurance the student is affiliated to. - Internships completed by French students in Quebec require a SE401Q official form (104 for internships in companies and 106 for internships in Universities). Abroad health expenses can be reimbursed by subscribed health private insurance when the student returns home given he/she provides evidence. Discrepancies can be found as reimbursement is based on French health care base fare. It is therefore highly recommended to subscribe to a designated health care cover contract which is valid for the country of destination for the overall internship period. Note : In case the company provides health coverage based on local legislation (see 2 below), the student can choose to benefit from it.
