1 MINUTES OF MEETING OF THE COUNCIL OF TRUSTEES OF THE EPISCOPAL DIOCESE OF KANSAS, INC. August 25, 2009 The Council of Trustees of the Episcopal Diocese of Kansas, Inc. met on August 25, 2009, at St. Paul s Episcopal Church, Kansas City, Kansas. The Rt. Rev. Dean E. Wolfe, Bishop and Chairman, convened the meeting with prayers for the feast day of St. Louis IX of France at 10:10 a.m. Members of the Council of Trustees present were: Bishop Wolfe Mrs. Lisa Adams Dr. Linda Brown Mr. Gary Chubb The Rev. Phillip Hubbard, Missioner for New Church Development. Father Wolff moved that the minutes of the meeting of June 16, 2009, be approved as presented. The motion was duly seconded and carried unanimously. Treasurer s Report: Mr. Anning presented the Treasurer s report consisting of the income statement for the period ending July 31, 2009, and supporting documents that included a written monthly statement ending July 31, 2009 from Morgan Keegan. Revenue and Expenses are within projected parameters. The Audit of Diocesan Financial Records is complete and a full report will be furnished at the September COT Meeting. Mr. Anning informed the Council that the preliminary results met with the new Auditing Standards. Ministry Focus: Episcopal Community Services Dr. Jay F. Lehnertz, Executive Director of ECS of Kansas City and Mr. John Hornbeck, Marketing Director of ECS presented a written and verbal report on the current status of ECS. ECS was started in 1987 with Turner House Health Clinic. ECS has 14 full and part-time employees and over 800 volunteers. ECS has suffered loss of income this year from various sources; United Way, St. Michael s Foundation, and other organizations. ECS was projecting a $200,000 deficit that resulted in a cut in staff and salaries and limited programs. With the resulting cut in expenses ECS hopes to end the year at a $20,000-30,000 deficit. Dr. Lehnertz indicated that a future meeting is to be at St. Michael and All Angels to discuss these issues with parishes of the NE Convocation. Mr. Taylor left the meeting at 10:45 a.m., and Mrs. Adams continued the minutes. Finance Committee Report: Mr. Bob Skaggs had several issues for the Council deliberation and vote. 1. St. Stephen s Church, Wichita, requested exemption from apportionment of $38,000 for air conditioning/heating repair that was being funded from various sources. Dr. Linda Brown moved for an exemption from apportionment of $38,000 for St. Stephen s Church, Wichita, and Mrs. Rogene Schille seconded. The motion passed with full approval. 2. St. Peter s Church, Pittsburg, requested a one-year extension on their loan from the Diocese. The Treasurer, Vestry, and Rector were in new positions this year and were unaware of the loan s balloon payment was due this year. The current loan is at 2.25% with roughly $32,000 balance. Mrs. Rogene Schille moved that St. Peter s Church, Pittsburg, be given a 1 year loan extension at 3.25% interest (Prime) based on a ten year amortization on the 15 year loan of the outstanding balance, Mr. Gary Chubb seconded. The motion passed with full approval.

St. Margaret s Church, Lawrence, has been paying their monthly payment of their Church Loan to the Diocese, but they have not paid their Balloon Payment that was due earlier. Their loan balance to the Diocese is roughly $192,000, and their total debt load for the Diocese and their bank loans is estimated at about $12,000 per month. The Bishop and the Finance Committee plan to speak with the new incoming rector in September 2009 to discuss this issue that will be brought back to the Council later this year. 4. Two Parishes are requesting seat, voice, and vote at the 150 th Diocesan Convention from the Council of Trustees. Reverend Don Davidson moved for St. Margaret s Church, Lawrence, be given seat, voice, and vote at the 150 th Diocesan Convention, Mrs. Rogene Schille seconded. The Council passed the motion with full approval. Dr. Linda Brown moved that St. Francis Church, Overland Park, be given seat, voice, and vote at the 150 th Diocesan Convention, Mr. Gary Chubb seconded. The Council passed the motion with full approval. Rev. Bill Wolff moved that the Congregational Development Committee work on a policy of church status in the Diocese congruent to the church s payment of their apportionment. The Very Rev. Michael Munro seconded. The Council passed the motion. 5. Mr. Jay Currie provided a written Affidavit and Resolution from L. Frank Taylor on the sale of the Turner House property to the Northeast Economic Development Corporation. Mrs. Rogene Schille moved that the Turner House property be sold in accordance to the written Affidavit and Resolution to the Northeast Economic Development Corporation, Rev. Juli Sifers seconded. The Council passed the motion with full approval. Mr. Jay Currie related that there was a bid on the St. Stephen s Church, Columbus, and property for approximately $31,000. There is an interested buyer for the St. Philip s Church, Topeka, and property if the Topeka City Council can approve a zoning change at the end of September. The buyer is hoping to build a Senior Center Daycare with residential duplexes for Seniors on the property. The bid on the property is currently at $315,000. Rev. Don Davidson informed the Council that St. David s Church, Topeka, loan was $550,000 instead of the projected $1.1 million. Capital Campaign: Mrs. Char DeWitt provided a written report on the progress of the Capital Campaign and answered Council members questions on the progress of the Campaign. The Council of Trustees recessed for lunch at 12:05 PM. and reconvened at 12:38 PM. Culinary Cornerstones from ECS provided the lunch to the COT. Rev. Ron Reed, Rector of St. Paul s Church, Kansas City, introduced Mr. Murrel Bland and Mr. Rick Bush to the Council. They provided written information about Breakfast at St. Paul s and St. Paul s Pantry. They provided a tour of the new pantry facility to the Council members.

4 Minutes, Council of Trustees August 25, 2009 Page 4 Youth Ministry: Mr. Chad Senuta provided a written report of the Youth Ministry to the Council. Campus Ministries: Rev. Susan Terry updated the Council on the new peer ministers; Courtney Dale for K- State and Joel McAlister at KU. Samantha Burcher, the peer minister at Parsons, is excited to be confirmed this coming weekend. Grace Church, Ottawa, was providing meals once a month following Eucharist at Baker University. Church Planter: Rev. Philip Hubbard informed the Council that his days included lots of coffee. He meets with various groups such as the Optimists and the Chamber of Commerce to increase visibility. St. Clare s will have a booth at Old Settler s Day on September th. They will be helping with a Fundraiser to benefit others in the community at Old Settler s Day. St. Clare s has been meeting at the Hubbard home for a monthly service. Twenty people were at the service in honor of St. Clare s Feast Day. Canon s Report: Canon Siegmund reported on several deployment matters: Good Shepherd Parish, Wichita The Rev. Andrew O Connor first Sunday will be September 27, He comes from California. Epiphany Parish, Sedan Search and conversation continue at this parish. Grace Parish, Chanute Conversation in regards to a new Rector continues. Trinity Parish, El Dorado Search for a suitable Interim Rector continues. St. Margaret s Church, Lawrence-Rev. Matt Zimmermann first Sunday will be September 13, Trinity Church, Lawrence-Rev. Ron Pogue has been selected as Interim Rector. He is from Galveston, Texas. The Search Committee is in the process of being formed. Canon Siegmund also reported that the Commission on Ministry met on Saturday, August 22, Rev. Michael Munro reported the Commission has determined that oversight is needed over the formation process from application to ordination. The candidates have been assigned Shepherds from the beginning of the process to its completion. It was also discussed that the process should not take any longer than 5 years to complete. The candidates will be given Letters of Expectation for each phase of the process. Canon Mary Siegmund was stepping down from the Diocese as Canon of the Ordinary as of August 31, She planned a much needed vacation and to write a book on the Second Chair. Bishop s Report: Bishop Wolfe discussed the General Convention and his role in the negotiations that helped to promote agreement at major issues. He voted in the affirmative in two major issues.

5 Minutes, Council of Trustees August 25, 2009 Page 5 The Bishop stated that he was excited about going forward, but was also worried about the loss of attendance in the Diocese as well as nationally. He informed the Council he will be serving as Vice-President in the House of Bishops and will no longer be a member of the Program and Budget Committee. Bishop Wolfe informed the Council of his great honor to preach at the Washington National Cathedral on Sunday, August 2, 2009 for the celebration of the Diocese s 150 th Anniversary. He thanked Mrs. Char DeWitt and Mrs. Jerri Malone for organizing the Pilgrimage to DC which 40 people accompanied the Bishop, including Council member Mr. Gary Chubb and his family. The Bishop informed the Council that the Fall will be challenging and he has several concerns for the rest of the year. These include: A Canon of the Ordinary Search Capital Campaign Concerns of the Economy 150 th Diocesan Convention with the Presiding Bishop in attendance Gala with Dance at St. Michael and All Angels in December The Bishop provided a written Episcopal Actions taken since June 16, Other: Rev. Juli Sifers informed Canon Mary Siegmund how important she has been to her. Rev. Michael Munro moved that he wished to express our gratitude in her role in the Diocese on behalf of the Council of Trustees. Written reports from the Liturgy, Arts, & Music Committee, Community Life Committee, and the Outreach & Mission Committee were given to the Council of Trustees.
