2 INVITATION Happy New Year Greetings! The Department of Commerce of University of Madras considers it as a matter of pride to hold the National Seminar on Corporate Crime and Governance Issues, Challenges and Remedies during 15 th and 16 th March We would like to invite you to share your ideas from all over the country relevant to this theme. This seminar will motivate the Academicians, Corporate and Government administrators to exchange their views. The academic deliberations of this seminar will definitely give way to identify the valuable remedial measures to eradicate the corporate crimes for fair and transparent corporate governance. We are very glad to invite faculty members and research scholars from various institutions as delegates for the Seminar. UNIVERSITY OF MADRAS The University of Madras is one among the three oldest universities established in India. It was established on 5 th September 1857 by an Act of Legislative Council of India. The University was developed on the lines of London University. University of Madras is a mother University of many Universities of southern India. The University is now functioning at four campuses in Chennai City, Tamil Nadu. At present, the University of Madras has jurisdiction that is confined to three districts of Tamil Nadu viz., Chennai, Thiruvallur and Kanchipuram. The University provides affiliation to the newly established colleges which fall 2

3 under its jurisdiction. It offers Post Graduate and Research Education through its dedicated departments and UG and PG Programmes through its affiliated institutions. Based on its academic achievements, the University of Madras has been accredited at the A Grade level by the National Assessment and Accreditation Council (NAAC) and conferred with the University with potential for Excellence status by UGC. The University has recently completed 154 years of its service in the field of higher education. DEPARTMENT OF COMMERCE The Board of Studies in Commerce was first established in 1926 and B.Com. (Pass) programme was first instituted in March A full-fledged Commerce Department was established in The Department presently offers M.Com., M.Phil., and Ph.D programmes. Several legendary and towering personalities have directed the destiny of commerce education in the University and have brought name and fame to the Department of Commerce at national and international level. The Department specializes in Development Banking, Marketing, Business Finance, Financial Markets, Organisational Behaviour and International Business. CHENNAI CITY The seat of culture and learning, Chennai (Formerly called as Madras), is located in Tamil Nadu State in southern India. It stretches along the Coromandel coast of Bay of Bengal. Chennai is renowned for its beaches, historical monuments and rich cultural heritage. Marina and Elliot s beaches are the major crowd pullers of Chennai city. Among these beaches, Marina 3

4 is the world s second longest beach trench (12 kms). Elliot s beach is quieter and cleaner. Mahabalipuram, one of oldest archaeological place nearer to Chennai city, has enormous historical monuments bounded by nature. NATIONAL Seminar Due to the changing nature of governance practices in corporate sector at global level, many issues and challenges are emerging in the corporate administration. Good governance can ensure sustainable development, growth with equity, harmony and prosperity. Corporate governance code acts as an arm to the companies to comply the norms of governance in an undiluted manner. Despite the adherence of the corporate governance code, crime related practices raise their ugly heads in corporate administration. The corporate crimes in the recent past gave way for corporate chaos resulting in lack of transparency and openness in company affairs leading to corporate failure. This has given way for dissolution of many enterprises around the world. The rising nature of corporate crime has caused a huge loss to the interest of stakeholders besides taking a toll on the nation s wealth and economic growth. The effective adherence of the corporate governance code is expected to lead to a crime free corporate management. The corporate crimes take place through fudging of accounts, diversion of funds for personal benefit, non-disclosure of interested contracts etc.. In recent times, few companies attempted to indulge in money laundering activities for evasion of tax. The unethical governance of the corporate also stems from nexus of politicians in corporate administration. In order to arrest corporate crimes and to ensure better governance, vigilance on administration is unavoidable. Many 4

5 regulatory bodies including SEBI and RBI play a watchful role in the administration of companies. It is also our endeavor to explore all possible opportunities for good governance, through which India can reach the highest pedestal in the comity of nations. The national seminar on the theme Corporate Crime and Governance - Issues, Challenges and Remedies aims at capturing the recent trends on corporate crime and governance. SEMINAR OBJECTIVES Assessing issues and challenges emerging in the corporate governance practices. Analysing the causes for crimes in corporate sector. Evaluating the recent developments and measures to prevent the corporate misdeeds. Arriving at a consensus for remedial measures to eradicate the corporate crimes. The papers should be original and unpublished. One or more authors may be included in the paper. The paper must be presented either by the author or co-author. Kindly send a soft copy (One CD in MS word format) and hard copy (Font : Times New Roman, Size 12 and 1.5 line spacing with normal print margin) of the abstract and full paper not exceeding 12 pages including statistical data, figures and other annexure before the stipulated time. Further, forward a copy to the following ID : unomcomcon2012@gmail.com. All papers are subject to scrutiny by an expert committee and selected papers alone are permitted for presentation in the Seminar. 6

7 Please bring a hard copy and soft copy of the full paper on the day of the seminar apart from the copy sent. Pen drives are not allowed. Soft copy of power point presentation should be in C.D. A seminar volume consisting of qualified papers will be published with ISBN Number. Registration Fee The Registration fee is payable by each authors and coauthors of the paper individually and separately as detailed below : a) Delegates from Industry 1500/- b) Academicians & Research Scholars 1000/- Delegate fee shall be paid by means of Demand Draft favouring Professor and Head, Department of Commerce, University of Madras, payable at Chennai, along with the registration form. Delegates are requested to write their details on the reverse side of the Demand Draft. Delegate fee once paid will not be refunded. Refreshment Tea and Lunch will be provided to all participants. The participants are requested to make their own arrangement for accommodation. No TA and DA will be paid to delegates.
