3 ARTICLES OF INCORPORATION OF THE COUNCIL FOR THE ADVANCEMENT OF STANDARDS FOR STUDENT SERVICES/DEVELOPMENT PROGRAMS TO : The Recorder of Deeds Washington, D.C. We, the undersigned natural persons of the age of 21 years or more, acting as incorporators of a corporation, adopt the following ARTICLE OF INCORPORATION for such corporation, pursuant to the District of Columbia Non-Profit Corporation Act: FIRST: The name of the Corporation is COUNCIL FOR THE ADVANCMENT OF STANDARDS FOR STUDENT SERVICES/DEVELOPMENT PROGRAMS. SECOND: The period of its duration is perpetual. THIRD: The purpose or purposes for which the Corporation is organized are for such benevolent, charitable, and educational purposes as may qualify it as an exempt organization pursuant to Internal revenue Code, Section 501(c) (3), or the corresponding provision of any future United States Internal Revenue Code; including, but not

4 PAGE TWO Limited to: (1) Generally to improve and advance student services, development programs, and educational opportunities in institutions of higher education. (2) To promote cooperative inter-association effort to improve the quality of services offered to students by establishing, adopting, and/or recommending professional standards for student services/development programs and by establishing, adopting and/or recommending standards for preparing professionals for these fields; (3) To encourage accreditation agencies to utilize student services/development program standards; (4) To provide professional standards and consultation to assist institutions of higher education in the evaluation and improvement of their student services development programs; (5) To provide professional standards and consultations to assist institutions of higher education in the evaluation and improvement of preparation programs in the student services/development areas; (6) To increase awareness of the importance of professional standards for student services/development program areas and activities; (7) To do and engage in any all lawful activities that may be incidental or reasonably necessary

5 PAGE THREE to any of the foregoing purposes, and to have and exercise all other powers and authority now or hereafter provided under the laws of the District of Columbia; and (8) To receive, and, if necessary, to solicit dues, grants, and funds for the foregoing purposes. FOURTH: capital stock. This Corporation is not organized for profit and shall have no FIFTH: This Corporation will have classes of membership as provided in the by-laws of the Corporation. SIXTH: The manner of electing or appointing Directors of the Corporation shall be as provided in the by-laws of the Corporation. SEVENTH: No part of the net earnings of the Corporation shall inure to the benefit of or be distributed to its Directors, officers, or other private persons. The Corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article THIRD herein. No substantial part of the activities of the Corporation shall be the carrying on of propaganda, or otherwise to attempt to influence legislation, and the Corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any

Notwithstanding any other provision of these Article, the Corporation shall not carry on any other activities not permitted to be carried on by a corporation exempt from Federal Income Tax under Internal Revenue Code section 501 (c) (3) or the corresponding provision of any future United States Internal Revenue Law. EIGHT: The remaining assets of the Corporation, in the event of dissolution or final liquidation, shall be applied and distributed as follows: A. All Liabilities and obligations of the Corporation shall be paid, satisfied, and discharged, or provision shall be made therefore; any assets held on the condition they be returned, transferred, or conveyed upon dissolution shall be disposed of in accordance with such requirement. B. All remaining assess of every nature and description whatsoever shall be distributed to one or more corporations, funds, foundations, or organizations, qualified for exemption from tax as an exclusively charitable or educational corporation or foundation under the Internal Revenue Code, as amended, or any successor provisions.
