1 PROVIDENCE SACRED HEART MEDICAL CENTER AFFILIATION AGREEMENT Between PROVIDENCE SACRED HEART MEDICAL CENTER FAMILY MEDICINE SPOKANE RURAL TRAINING TRACK PROVIDENCE MOUNT CARMEL HOSPITAL Colville, Washington NORTHEAST WASHINGTON MEDICAL GROUP Colville, Washington This is an Affiliation Agreement between Providence Sacred Heart Medical Center (PSHMC), the Sponsoring Organization Family Medicine Spokane Rural Training Track (FMSRTT), a fully accredited family practice residency program Providence Mount Carmel Hospital (PMCH), a major participating hospital the Northeast Washington Medical Group (NEWMG), a fully accredited rural training track site. Now, therefore, in consideration of the mutual undertaking by PSHMC,FMS/RTT, PMCH NEWMG, it is agreed as follows: 1. GENERAL 1.1 PSHMC, through its Designated Institutional Official (DIO) Graduate Medical Education Committee (GMEC), FMS/RTT shall be responsible for educational guidance administration of this University of Washington affiliated, rural community-based family practice residency program. 1.2 In compliance with the Program Requirements for Residency Education in Family Practice established by the Residency Review Committee for Family Practice, NEWMG shall provide maintain the physical facilities staff for a family medicine training center PMCH shall serve as the designated major participating teaching hospital in Colville, Washington. 1.3 NEWMG shall develop maintain an educational program with assistance from PSHMC, FMS/RTT PMCH, serve a patient population, conduct day-to-day operations of the training program in accordance with the requirements established by the Residency Review Committee for Family Practice of the ACGME. 2. EDUCATION 2.1 PSHMC (through its DIO GMEC) with collaboration with the FMS/RTT Program Director shall exercise primary responsibility for the development execution of a 1
2 medical education program for family practice residents with input from NEWMG PMCH. The NEWMG shall be responsible for the implementation of this medical education program with assistance from PSHMC, FMS/RTT PMCH. The FMS/RTT Program Director shall provide assistance in curriculum planning implementation, faculty training, program evaluation resident evaluation to assure substantial compliance with the ACGME Institutional, Common Family Medicine Program Requirements the ACGME Policies Procedures. 2.2 FMS/RTT NEWMG shall assure training experiences for residents in those medical specialty areas not adequately represented in the rural community but required by the Residency Review Committee for Family Practice. 2.3 PSHMC FMS/RTT shall make available to NEWMG PMCH appropriate conferences, workshops other educational programs developed for family practice residents, faculty staff. 2.4 Residents under contract to the FMS/RTT shall be in compliance with medical licensure requirements in the State of Washington (Chapter 18.71). 2.5 NEWMG shall assure that all faculty participating in the Colville Rural Training Track (Colville RTT) program will be covered by their own professional liability insurance for actions, claims, or proceedings arising out of their negligent acts or omissions which occur during the entirety of the resident's training conducted at the NEWMG, PMCH or any other training site participating in the Colville RTT. 2.6 PSHMC the FMS/RTT shall assure that all residents assigned to the Colville RTT Site are covered by professional liability insurance for actions, claims, or proceedings arising out of their negligent acts or omissions which occur as a result of the performance of their responsibilities in their clinical training program. 3. ADMINISTRATION 3.1 A Rural Training Track Committee shall be established to make periodic examinations of program goals achievements; to set educational policies; to coordinate recruitment, educational administrative activities; to review financial support. The Committee shall be composed of the PSHMC DIO, FMS/RTT Program Director Assistant Program Director, the Site Coordinator from NEWMG, the Chief Executive from PMCH. The Assistant Program Director of the FMS/RTT shall serve as the Chairperson for the Committee. 3.2 PSHMC, FMS/RTT, NEWMG PMCH shall give thirty (30) days prior notice of any intent to initiate any changes in policies, programs, services, personnel, facilities or financing which may have significant implications for each other. 3.3 The parties expressly underst agree that NEWMG is acting as an independent party unrelated to PSHMC, FMS/RTT PMCH. Nothing in this agreement is intended to create a relationship, expressed or implied, of employer-employee or 2
3 principal agent between PSHMC, FMS/RTT NEWMG or PMCH or between FMS/RTT any individual employed or proposed to work under this Agreement by NEWMG or PMCH. 3.4 Neither PSHMC, FMS/RTT, NEWMG or PMCH shall be liable for defending or for the expense of defending the other party, its agents, or employees, against any claim, legal action, dispute resolution or administrative or regulatory proceeding arising out of or related to such other party's actions or omissions under this Agreement. Neither party hereto shall be liable for any liability of the other party, its agents, or employees, whether resulting from judgment, settlement, award, fine or otherwise, which arises out of such other party's actions or omissions under this Agreement. 4. FINANCE 5. TERM 4.1 NEWMG shall exercise responsibility for the financial support of the family medicine center utilized in ambulatory care training including provision for the physical facilities, faculty staff salaries, all other expenses associated with the training of the resident at the Colville RTT as agreed upon by NEWMG FMS/RTT. 4.2 PMCH shall exercise responsibility for the financial support of the facilities utilized for inpatient training personnel associated with the training of the resident in their facility as agreed upon by PSHMC, FMS/RTT PMCH. 4.3 PSHMC, FMS/RTT, NEWMG PMCH shall cooperate with each other in preparing proposals applications to government agencies, private foundations, corporations other organizations for capital or operating funds. 4.4 PSHMC FMS/RTT shall administer the budget for the Colville RTT so as to comply with the terms conditions of this Agreement. These funds are to be used to pay for all expenses associated with the training of the family medicine resident, e.g., resident stipend benefits, Assistant Program Director staff salaries benefits, consultant expenses, travel, reimbursement for clerkship expenses, supplies, equipment, ACGME accreditation, resident certification, other educational administrative expenses. 4.5 PSHMC, FMS/RTT, NEWMG PMCH agree that the annual revenue produced by the resident(s) for NEWMG which is beyond expenses is to be retained by NEWMG as a teaching stipend. 4.6 PSHMC, FMS/RTT, NEWMG PMCH shall review the budget annually. Based on this review the annual level of support from NEWMG PMCH to PSHMC shall be revised as necessary to support expenses. 5.1 This Agreement shall become effective on July 1, 2010, will remain in effect unless terminated by PSHMC, FMS/RTT, NEWMG or PMCH as provided herein. The term of 3
4 the Agreement shall be for one (1) year shall automatically be extended annually each July 1, by PSHMC, FMS/RTT, NEWMG PMCH unless terminated as provided herein. 5.2 This Agreement shall incorporate the terms of the Program Letter of Agreement (PLA) between FMSRTT, NEWMG PMCH currently in effect (attached). 5.3 With mutual agreement by PSHMC,FMS/RTT, NEWMG PMCH, NEWMG PMCH may serve as a training site for more than one family practice resident. 6. TERMINATION 6.1 For Cause PSHMC, FMS/RTT, NEWMG or PMCH may terminate this Agreement at any time for cause. Cause for termination includes, but is not limited to the following: Failure of PSHMC, FMS/RTT, NEWMG or PMCH to maintain licenses, certifications accreditation required to perform its duties under this Agreement Failure of NEWMG to maintain required insurance coverage Material breach of this Agreement by PSHMC, FMS/RTT, NEWMG or PMCH Habitual neglect or continued failure by any party to perform its duties under this Agreement. Any occurrence under paragraph through shall be grounds for immediate termination. Termination for any other reason set forth above shall be upon thirty (30) days prior written notice by the terminating party. 6.2 Without Cause - This Agreement may be terminated at any time without cause or prejudice upon sixty (60) days prior written notice. 7. RIGHTS AND OBLIGATIONS UPON TERMINATION 7.1 Upon termination of the Agreement for any reason, the rights of each party hereunder shall terminate. Not withsting the foregoing, NEWMG' MCH obligation to provide a medical education program for the residents previously accepted by NEWMG MCH shall survive termination until such time such educational programs can be completed or such residents can be reassigned. 7.2 Should the family practice residency training of the residents under contract with PSHMC, FMS/RTT, NEWMG PMCH training at the Colville RTT be terminated for cause mutually agreed upon by PSHMC, FMS/RTT, NEWMG PMCH, NEWMG PMCH s financial obligation for that resident to PSHMC FMS/RTT shall be limited to the expenses for the period prior to termination. Expenses for any partial month shall be prorated. 4
