Furthermore it gives the VB student an opportunity to meet and discuss their ideas with leading Maryland Business Law attorneys and to continue on with the project with the feedback received. The work involves both writing multiple research memoranda, either as a team with one or two other Fellows or alone as well as drafting a legislative proposal that will be considered by the Executive Council for the purpose ofrecommendation to the MD General Assembly_ The Clerkship Program allows the Law School to offer a more diverse and enriched range of opportunities for the VB Business Law student. This is an offering that no other law school in the area has; for the program to exist, it needed and has already received approval by both the Business Law Executive Council and also the Maryland State Bar Association. Paul Carlin, the Executive Director ofthe MSBA, sees the program as a model he hopes to extend to other MSBA Sections. As such, the Clerkship program brings VB Law School into a more integrated relationship with the MSBA through the Business Law Section. Furthermore the Program, which has been running for more than two years, has been not only the focus ofan article in the Section Spotlight ofthe Month ofthe MSBA Bar Bulletin the organization's monthly newspaper - but the program has already received an award for outstanding Section project (Spring 2008.) Thus the program not only provides outstanding opportunities for the VB Business Law student to participate in developing the cutting edge ofbusiness Law Policy and serves to enrich the Law School educational program, but it also brings and enhances the School's reputation in the community and in the state.

Catalog Description (paragraph should reflect general aims and nature ofthe course):_ The MSBA-UB Business Law Clerkship Program is designed to give select students the opportunity to work with the MSBA Business Law Section Executive Council under the supervision ofthe UB Law faculty member who serves on the Executive Council as the University Liaison. The Clerkship Fellows work on projects deemed by the Executive Council to be ofsignificant value to Maryland Business Law community as a whole and which require significant research and writing ofextensive memoranda. Projects typically culminate in the Fellows drafting and recommending statutory proposals with accompanying memoranda to the Business Law Executive Council, which will then consider them for legislative proposals to the Maryland General Assembly. Over the course ofthe year, the Fellows meet at least monthly with the faculty advisor and together meet several times with members ofthe Executive Council for discussion and feedback as to the course ofthe project. The Clerkship Fellows program gives strong UB Business Law students an opportunity not only to interact with leading members ofthe Maryland Business Law community but also to be integrally involved in the development and promotion of Business Law policy by the Maryland State Bar Association 8. Suggested approximate class size: 5-8 (instructor permission required for enrollment)

5 12. Content Outline: Determined by the project proposed by the Executive Council and approved by the Supervising Facu1ty member. Each project usually involves extensive research on the legislation and legislative history in various other states with regard to the project's policy concern, researching law review articles on the specific topic and writing memorandum with respect to these issues. On-going is developing an annotated statutory proposal with revisions as additional research reveals new issues. A monthly meeting with the Professor throughout the year and at least a quarterly meeting with the members ofthe Business Law section directly involved in the project. 2 credits are awarded in the last semester after full year participation. 13. Learning Goals: How to recognize and address issues that arise while setting Business Law policy, how to research the issues and make policy recommendations, how to compare MD Business Law Statues with those ofother states, how to write memoranda and position papers and how to draft legislative proposals. How to work cooperatively with fellow students in dividing up research and drafting responsibilities and how to interact with MSBA Business Law Executive Council members with regard to focusing the direction ofthe research and achieving the end goals ofthe project. 14.
