1 Minutes of the Annual General Meeting of British Universities and Colleges Sport Limited Weston Theatre, Museum of London 12:45am Thursday 10 th December 2015 Company No No. Minutes Action Date by 1. Introduction The Chairman welcomed everyone to the 2015 AGM and Christmas seminar giving thanks to Hudl for their sponsorship. 2. Attendance Please see attached Appendix 1, for a full list of members who attended this AGM. 3. Apologies for absence Board: Sue Maughan Members: Please see attached Appendix 1, for a full list of members who did not attend this AGM. 4. Minutes and Matters Arising The minutes of the AGM held on 4 th December 2014 were approved. 5. Chair s Report During the Autumn sports had been impacted on by events across the world. As sports people within the HE sector Members had an enormous role to play. Sport above anything else crosses boundaries, and Universities are the one place where nations meet and if it is not a safe environment for difficult discussion then nowhere is. A green paper recently published in England would undoubtedly impact on Scotland, Wales and Northern Ireland. There would be ever more new entrants into the market and greater diversity. Page 1 of 7

2 The development of the new strategy had been stimulating, and must now be communicated broadly across the sector. We must now be seen to walk the walk as well as talking the talk. An open, inclusive, warm, friendly environment. BUCS had had a good year. There was more to do and room for improvement. The work from the BUCS staff across the whole year had been impressive. The Chair thanked Karen Rothery for her work as CEO over a significant period of time. The search for a new CEO had been ongoing since the summer and he was pleased to announce the appointment of Vince Mayne (Coventry University) who would take up the reigns on 1 February Thanks were also given to Mark Brian who had done a great job stepping up as Interim CEO. Lastly tribute was paid to the three outgoing Board Members. Sue Maughan, Annie Coleman and John Brewer for the work had done and the contributions they had made over their terms of office. 6. CEO report on BUCS activities MB outlined that his report would be more operational and functional. Activity levels were increasing and were having a positive effect bringing people together and changing lives. Thanks were extended to Members, volunteers, the staff and the outgoing Chief Executive Karen Rothery. The sports programmes had grown for the 9 th consecutive year, while engagement by students through social media had continued to grow. Highlights of the year had been the visits of HRH Princess Ann to both sailing and BUCS Big Wednesday. BUCS Big Wednesday at Loughborough had been outstanding with the engagement of students ensuring a great atmosphere around campus. It had also seen the hosting of the first Vice Chancellors dinner. Nationals in Sheffield had been expanding and the relationship with all of our partners in Sheffield continued to flourish. Internationally it had been a successful WUCs season. The winter WUGs saw 27 people sent across a variety of sports. Summer WUGs in July really was a student Olympics with over 10,000 athletes. It also saw the best medal haul in over 10 years and 72 Institutions represented. Page 2 of 7

3 Following a late request BUCS and the University of Birmingham will be hosting the 2018 World University Squash Championship. The working relationship with Deloitte had gone from strength to strength. The BDLA had expanded and was giving students an insight into high performance leadership. Sports Development had enjoyed a successful year. The BUCS this girl can programme had driven up women s participation. NGB engagement had grown, and the relationship with the FA had seen further investment and a recognition of the impact made on the HE sector through BUCS. In addition to the partnership with Deloitte, the relationship with Kukri was now in its 6 th year. Redbull continued to support some key events and enhance the student experience. In Scotland the partnership with SSS had seen the football programme expanded and the continuation of shared good practice and ways of working. The Student Officers continued to build on the success of 2013/2014 whilst the Senior Managers Network was now finding its feet and making an impact. 7. Changes to Articles of Association Required updates to articles The Company Secretary explained that the changes had been recommended by Ben Moorhead and approved the Board, in order to keep the Articles up to date with legislative changes. The changes were approved Board Members terms of office The Company Secretary explained that the change had been suggested by John Brewer and was supported by both Board and Advisory Group. The change to bring the Board Members terms of office in line with that of the Chair was approved. Advisory group motion re: Senior Managers Network The Company Secretary handed back to the Chair who explained that custom and practice had always been that a Director of Sport would form part of the Board. Any Director of Sport on the Board would not be representative of any group and should be independent. An amendment could be made to the Articles of Page 3 of 7

4 Association to ensure that a Director of Sport was always required to form part of the Board. Dan Tilley (The University of Nottingham) responded that the inclusion of the Chair of the Senior Managers Network would guarantee provision of a Director of Sport on the Board and give parity with the Student position. The change to the Articles was approved by a majority. 8. Applications for membership The application for membership from Tresham College of Further and Higher Education was approved. 9. Annual Accounts Audited Financial Statements including the Trustees report, and a summary of the position for the year ended 31 July 2015 were presented to the meeting by the Company Secretary. Despite disappointing commercial income there had still been a 7% increase to reserves. There being no questions the financial statements were duly approved. 10. Appointment of Board members The Membership ratified the following appointments to the Board: Steven Falk (Director, Star Sports Marketing) Andy Westlake (Board Director, European Sponsorship Association) Lil Roe (Coach and Volunteer Development Officer, Active Surrey) 11. Appointment of the Auditors On the recommendation of the Board it was agreed that RSM be reappointed auditors of BUCS for the year ended 2015/ Date of Next Meeting The next meeting will take place in December 2016 with the venue and full details of the accompanying programme to be announced. 13.
