3 ARTICLE I NAME AND ADDRESS NAME The name of the organization is Skyline Boys Select Basketball ( SBSB ). ADDRESS The Association s mailing address is 3020 Issaquah Pine Lake Rd SE, P.O. Box 326, Sammamish, WA ARTICLE II OBJECTIVES AND MISSION The primary objective of SBSB is to promote and develop a select boys basketball program for boys in grades 4 th 8 th who live within the boundaries of Skyline High School ( SHS ) and intend to attend SHS. SBSB is a non-profit organization and shall not carry on any activities not permitted to be carried on by a corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code. Skyline Boys Select Basketball Mission Statement To develop passionate, intelligent, competitive, spirited, team-oriented basketball players. The intent of SBSB is to teach the game of basketball with a level of intensity above that of basketball programs offered by the Parks and Recreation departments, while promoting sportsmanship and teamwork. This program offers more practice, greater intensity and faster-paced teams that travel to compete in tournaments and with other teams within the Eastside Travel League ( ETL ), Cascade Basketball Travel League ( CBTL ), the PEAK League or any other league the Board of Directors deems appropriate. The emphasis of the program is to heighten the skills of players in preparation for their later playing years. Though the amount of playing time is not equal, all players get the opportunity to play based on effort and team need. The program focuses on rewarding great attitudes, and not just athletic performance. SBSB By-Laws Page:!3

4 ARTICLE III MEMBERSHIP The membership of SBSB is made up of board members, parents and coaches, as well as volunteers who are interested in developing good sportsmanship and athletic ability of the players within SBSB. ARTICLE IV BOARD OF DIRECTORS The Board of Directors ( Board ) is the governing body with full legal authority and responsibility for SBSB. It is responsible for the administration and policy decisions of SBSB. Each Director has one vote for any matters voted on by the Board of Directors. An individual may hold more than one Board position. Where an individual holds more than one Board position, such individual shall only have one vote on voting matters. The Board of Directors consists of: President Vice President Secretary and Director of Activities Treasurer Director of Scheduling Director of Coaches Director of Leagues In addition to the above named Directors, the Board may include up to two at large Board members. In no case, shall the Board exceed nine members. Nominations for Directors are to be submitted to the Board of Directors. Directors are elected by a majority of the then current Board members. Directors can serve continuous terms as long as they actively participate in the activities of SBSB. A Director may resign at any time with written notice to the President or the Board. A Director who engages in activities detrimental to SBSB may be removed by a majority vote of the Board members. Board vacancies may be filled at any meeting by a majority vote of the Board. Board meetings will take place on a regular basis, as needed. The President shall designate the time and place of Board meetings. A majority of the Board members constitutes a quorum at each meeting. Items voted on by the Board require a simple majority of the Directors voting to pass. SBSB By-Laws Page:!4

5 ARTICLE V BOARD OF DIRECTOR S DUTIES The Board of Director s duties are as follows: PRESIDENT The President serves as overseer of all SBSB operations, functions and activities; Presides over, schedules and conducts meetings of the Board; Carries out and enforces all policies, rules, etc. set forth by SBSB; Signs legal documents of the organization; Acts as a parent and player liaison to the Board; Investigates complaints and discipline concerns; In conjunction with the Director of Coaches, identifies the team coaches and establishes coaching policies; Determines and appoints committees as needed to support the functions of SBSB; Coordinates and communicates with the Skyline High School boys basketball coaches and their program. VICE PRESIDENT Coordinates the tryouts and team formation process; Coordinates tournaments in which teams will be playing in; SECRETARY AND DIRECTOR OF ACTIVITIES The Secretary will keep minutes of all Board meetings; Notify Board members of meeting locations and times; and provides meeting agendas in advance of meetings; Checks the SBSB post office box on a frequent basis; Is responsible for communications of SBSB, including administration of the SBSB website, sending broadcast communication s on behalf of SBSB, and responding to inquiries; and coordinates team activities, including but not limited to, registrations, tournaments, uniforms, and volunteers. 6 The Treasurer is responsible for all SBSB finances including payment of all approved expenditures and accounting of income and expenses from program registrations, tournaments, sponsors and other sources; Maintains a current, accurate record of all receipts and expenditures; Responsible for all cash needs at tryouts, tournaments, etc.; Reconciles on a monthly basis the SBSB bank account; Reviews, monitors and maintains proper insurance coverage; Implements Checks & Balances procedures for Financial Controls, including obtaining two signatures on checks that exceed $2,500 written by SBSB; Prepares and issues financial statement reports, which must be reviewed at board meetings; and Determines an annual operating budget, which is to be presented to the Board for approval, including player fees for each program. DIRECTOR OF SCHEDULING The Director of Scheduling is responsible for the scheduling of all team practices, based upon the availability of gyms as identified with the Director of Issaquah Parks and Recreation; Coordinates with Issaquah School District to reserve gym space as needed for tryouts, meetings or such other needs as may be determined by the Board; Coordinates gym usage with the Director of Scheduling for the Skyline Select Girls basketball; and Coordinates game schedules with the Director of Leagues. DIRECTOR OF COACHES The Director of Coaches is responsible for identifying and recruiting coaches; Develop, with the President, coaching policies; Identify, with the President, coaches for each SBSB team; Oversee the coaching application, coaching agreement and background check process for all Coaches and Assistant Coaches; and Addresses any coaching issues that arise during the season. 7 Identifies leagues that teams will play in during the season; Coordinates registration of teams for league play; Coordinates game changes as necessary with other teams in the leagues; Attends league meetings; and Provides a program status at Board meetings, as needed. ARTICLE VI TEAM MANAGEMENT LEAGUE PROGRAMS SBSB may form teams for each grade from 4 th to 8 th grade. There shall be no more than 12 players per team. There is no requirement to form two teams and/or place 12 players on each team. Such discretion is with the Board based on player turn out for tryouts. Teams shall participate in the ETL, Cascade, PEAK or such other leagues as the Board deems appropriate. Any team participating in the ETL shall be designated as a Silver team. Teams participating in any other league shall be designated as a Green team. COACHES Each team shall have one Head Coach and may have up to two Assistant Coaches. Head coaches must be at least 21 years of age and shall be evaluated and recommended by the President and Director of Coaches. All coaches shall be approved by the Board of Directors. Where necessary, Directors serving on the Board may be selected to coach a team. Head coaches may be approved to coach up to two teams as approved by the Board of Directors. Head Coaches may choose their Assistant Coaches. Assistant Coaches must be at least 16 years of age. Assistant Coaches cannot be chosen for the purpose of assuring a player makes a team. Only Head Coaches will be pre-selected by the Board and attend evaluations and partake in the team formation process. Non-parent coaches will be appointed for each team, unless otherwise approved by the Board of Directors. Coaches are approved for the current season only and must be approved each year to continue with the program. Coaches must sign a coaching contract and obtain an AAU number (which provides for a background check). The coaching contract and AAU number must be completed prior to coaches being allowed to practice or partake with their team. Coaches are responsible for communicating all information relative to games, practices, league and conduct rules SBSB By-Laws Page:!7

8 with players and parents. The Board has the authority to terminate and replace coaches who exhibit inappropriate behaviors as determined by the Board. ARTICLE VII ASSIGNMENT/SELECTION OF PLAYERS TO TEAMS EVALUATION REQUIREMENT An evaluation and tryout process will be held each year for all teams. Tryouts are open to all grade appropriate players living in the SHS boundaries, who intend to attend SHS. SBSB will provide an equal opportunity to eligible players without discrimination on the basis of race, color, religion, or national origin. Players must have completed their registrations forms, including any medical waivers and concussion compliance forms prior to tryouts. The intent of the program is for players to play at their grade level, but in exceptional circumstances a player may be allowed to play ahead one year at the board s discretion with input from the evaluators. Any player not living within the SHS boundaries and desiring to play for SBSB shall require approval from the Board. To the extent required, such players shall also be required to comply with any league requirements for playing with SBSB. EVALUATION PROCESS Tryouts will be held in September, with the tryout dates and times posted on the SBSB website in early August. There will be up to two tryout sessions for each of the teams. Only designated Board members, Head Coaches and other parties identified by the Board (collectively the Evaluators ) are allowed to participate in the evaluation process. When an Evaluator/Coach has a son trying out for a team they will be coaching, such Evaluator/ Coach may be present to give feedback and select the team along with the other evaluators. The Evaluator/Coach, along with the 2 board members present at tryouts will collectively and fairly evaluate the kids. Evaluator/Coach s son must be evaluated at a skill level to make such team. Each player will be assigned a tryout number. Tryouts are closed to the public. Any player injured during or before the tryouts will be evaluated based on their previous experience, if that player is able to return before mid-season. Players with no previous experience who are injured will be handled on a case by case basis. SBSB By-Laws Page:!8

9 PLAYER SELECTION Teams will be formed based upon the evaluation process. The results of the tryouts will be posted to the SBSB website by player tryout number within 48 hours of the final tryout date. Team selection is based upon the following criteria: ATTITUDE- Team focus, ability to work, listen and learn, aggressiveness, confidence, discipline, and a love to compete. BASKETBALL TEAM SKILLS- Defense, screening, rebounding, passing. BASKETBALL INDIVIDUAL SKILLS- Shooting, ball handling, poise w/ the basketball. ATHLETIC ABILITY- Quickness, agility, jumping, strength, endurance. PLAYER DISMISSAL Players not showing an adequate interest in the team effort by failing to attend practice sessions and scheduled games may be dropped from the team; but only after the approval of the Board members. A player deciding not to play after being selected as a result of the evaluation process should notify his coach or the President of SBSB immediately. Registration fees are not refundable once the teams have been formed, unless approved by the Board of Directors. For the team that lost the resigning player, the Board will determine the best course of action for the team, which may require the movement of players between teams. ARTICLE VIII FEES FEES SBSB is a non-profit organization. All monies collected will be used to further the aims of SBSB. All fees will be determined by the Board prior to the distribution of the registration notice each season. Financial assistance may be granted for families with financial hardships, and will be reviewed on a case-by-case basis, and require approval by the Board. SBSB By-Laws Page:!9

10 ARTICLE IX MISCELLANEOUS AMENDMENT OF BY-LAWS Theses by-laws may be amended by a majority vote of the SBSB Board of Directors. The Board will decide any issues not covered by these by-laws. FISCAL YEAR The fiscal year of SBSB will be from July 1 to June 30. NO COMPENSATION No Board member shall receive any compensation for services rendered as such Board member. CONFLICT OF INTEREST No Board member or immediate family member can engage either directly or indirectly in business for compensation with SBSB in any manner without prior Board approval. Annually, each Board member shall sign a conflict of interest policy certifying that such member has not undertaken any conduct that creates a conflict except as allowed pursuant to the By-Laws. Whenever a director or officer has a financial or personal interest (either directly or indirectly through affiliates, family members, etc.) in any matter coming before the Board, the Board shall ensure that: 1. The interest of such officer or director is fully disclosed to the board of directors. 2. No interested officer or director may vote or lobby on the matter or be counted in determining the existence of a quorum at the meeting of the board of directors at which such matter is voted upon. 3. Any transaction in which a director or officer has a financial or personal interest shall be duly approved by members of the board of directors not so interested or connected as being in the best interests of the organization. 4. Payments to the interested officer or director shall be reasonable and shall not exceed fair market value. The minutes of meetings at which such votes are taken shall record such disclosure, abstention, and rationale for approval. SBSB By-Laws Page:!10

11 INDEMNIFICATION SBSB will indemnify and hold harmless each member of the Board of Directors from any and all claims, demands, and actions asserted against such persons as the results of acts or omissions made by such persons as members of the Board of Directors of SBSB. No indemnification will be provided for acts or omissions which are unlawful, constitute intentional wrongdoing or gross negligence. DISSOLUTION Upon the dissolution of this organization, assets will be distributed to one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code or corresponding section of any future federal tax code, or shall be distributed to the federal, state, or local government for a public purpose.
